Name Description

Thomas Hawkins

Mr. T. Gregory Hawkins is Chairman of the Board of Yellowhead Mining Inc. Mr. Hawkins has been involved in the mining exploration and investment industry since 1969. He has been variously responsible for the identification and/or delineation of ten mineral deposits in Canada, USA, Chile, Ghana, Mali and Zaire (DRC). In acting as founding project consultant and or founding director of seven public and private exploration/development ventures, he has participated in or been responsible for the definition of at least one resource/reserve in every case with five cases resulting in production in the USA, Chile, Ghana, the Democratic Republic of Congo and Mali. In 1990, he started CME & Company, an international full service consultancy and contracting firm, which grew to include Spectral International Geophysics, Eagle Drilling and ATS Inc.

Frank Wheatley

Mr. Frank David Wheatley has been appointed as Chief Executive Officer, Director of Yellowhead Mining Inc., effective July 1, 2013. Mr. Wheatley has over 30 years of business, financial and legal experience with Canadian public mining companies exploring, developing, permitting, financing and operating gold, silver, copper and lithium mines on several continents. Prior to joining Yellowhead, Mr. Wheatley was Executive Director, Corporate Affairs and Strategy with Talison Lithium Limited, a leading global lithium producer with operations in Western Australia, until its acquisition by Chengdu Tianqi Industry (Group) Co. in March 2013. From 1999 to 2010, he was Vice President and General Counsel and previously President and Chief Operating Officer with Gabriel Resources Ltd. From 1995 to 1999, he was with Eldorado Gold Corporation as Corporate Secretary, then Vice President and General Counsel, prior to which he was in private legal practice. Mr. Wheatley holds a LL.B. and B.Comm. from the University of British Columbia.

David McGoey

Mr. David McGoey is Chief Financial Officer of the Company. Mr. McGoey will oversee the financial aspects of the care and maintenance program. Mr. McGoey has over 25 years of professional experience, including 10 years of experience as a director on boards of public companies as well as serving as the chief financial officer of other public companies. Mr. McGoey holds a bachelor of commerce (honours) degree, two professional accounting designations (CA and CPA (Illinois)), his ICD.D designation, and has attended additional professional education courses on governance and compensation issues for directors.

Alastair Tiver

Mr. Alastair Tiver serves as Vice President - Operations of Yellowhead Mining Inc. Mr. Tiver holds a Bachelor of Engineering in Mining, from South Australian University along with an MBA from Curtin University in Western Australia. He has 24 years of broad international experience in operating and consulting roles ranging from exploration stage to large scale operating mines in a variety of commodities. Most recently as the Chief Engineer of Copper Mountain Mining Corporation, he was a key member of the management team responsible for bringing the Copper Mountain Project, located near Princeton, BC, back into production. Prior to Copper Mountain, he was with bcMetals Corp. as its Chief Mining Engineer, which advanced the Red Chris copper/gold porphyry project to a pre-development/financing stage at which time that company was acquired by Imperial Metals Corp.

Charlene Higgins

Dr. Charlene Higgins serves as Vice President - Environment, First Nations and Community Relations of Yellowhead Mining Inc. Dr. Higgins has a Master of Science and a Doctorate Degree in Ecology from the University of British Columbia. She has over 14 years’ experience working with Aboriginal communities and organizations as a senior policy advisor and negotiator. She has participated as an expert and advisor in international (United Nations), national and provincial arenas on issues pertaining to the sustainable use and management of natural resources. Dr. Higgins brings expertise in areas of consultation, sustainable use of natural resources and multi-stakeholder engagement. She is a member of the Canadian Standards Association (CSA) Technical Committee on Sustainable Forest Management, the Programme for the Endorsement of Forest Certification schemes (PEFC) National Governing Body, and the BC First Nations Environmental Assessment Technical Working Group.

R. Stuart Angus

Mr. R. Stuart Angus serves as Lead Independent Director of Yellowhead Mining Inc., since November 9, 2010. Mr. Angus is an independent business advisor to the mining industry. He was formerly Head of the Global Mining Group for Fasken Martineau. For the past 30 years, Mr. Angus has focused on structuring and financing significant international exploration, development and mining ventures. More recently, he was Managing Director of Mergers & Acquisitions for Endeavour Financial. Mr. Angus is the former Chairman of the Board of BC Sugar Refinery Limited; he was a director of First Quantum Minerals until June 2005, a director of Canico Resources Corporation until its takeover by CVRD in 2005, a director of Bema Gold until its takeover by Kinross Gold in 2007, a director of Ventana Gold until it's takeover by AUX Canada Acquisition in 2011 and a director of Plutonic Power until its merger with Magma Energy in 2011. He is presently Chairman of Nevsun Resources Ltd.

Ryan Jennings

Mr. Ryan Jennings is a Independent Director of Yellowhead Mining Inc., since June 30, 2014. Mr. Jennings has over ten years of financial experience in private equity, merchant banking and portfolio management. Mr. Jennings is currently a partner at Matco Capital Ltd., a private investment firm which specializes in providing capital and management expertise to companies in which it has an interest. Mr. Jennings is a director of several private operating and investment companies. He has earned a bachelor of commerce degree from the University of Alberta and is a CFA charter holder.

Ronald Mathison

Mr. Ronald P. Mathison is a Independent Director of Yellowhead Mining Inc., since December 19, 2014. Mr. Mathison is the President and Chief Executive Officer of Matco Investments Ltd. and Matco Capital Ltd., private investment firms which specialize in providing capital and management expertise to companies in which they have an interest. Mr. Mathison has extensive experience in restructuring and financing corporations in both the public and private markets. He is a founder and Chairman of Calfrac Well Services Ltd. and Tesla Exploration Ltd., and also serves as Chairman of Western Energy Services Corp. Until 2000, Mr. Mathison was a director and principal of Peters & Co. Limited, an investment firm specializing in the oil and natural gas industry.

Glen Swail

Mr. Glen Swail is a Independent Director of Yellowhead Mining Inc., since June 30, 2014. Mr. Swail is a Calgary based Chartered Accountant and business person with experience in several different industries including his role as a private equity managing director with: oil and gas services, real estate investment, manufacturing, industrial sales and supply, construction and many other industry enterprises. Mr. Swail has director related experience with public companies and related filing regulations. Prior to his involvement with a private equity firm in Calgary, Mr. Swail was a senior partner with a local chartered accounting firm in Winnipeg.
