Name Description

Federico Marchetti

 Mr. Federico Marchetti serves as Chairman, Chief Executive Officer and Executive Director of YOOX SpA since October 7, 2009. Prior to this he served as Chief Executive Officer and Executive Director of the Company as of February 4, 2000. In 2000 he founded the Company, and since then, he has served as Chief Executive Officer. He holds a degree in Business Economics from Universita Commerciale Luigi Bocconi in Milan and a Masters of Business Administration degree from Columbia University. He began his professional career in 1994 as an Investment Banking Analyst, first in London and then in Milan. In 1999, he worked with Bain & Co as a Consultant.

Stefano Valerio

 Mr. Stefano Valerio has served as Non-Executive Vice Chairman of the Board of Directors of YOOX SpA since November 10, 2010. Prior to his appointment he served as Director of the Company as from 2006. He is Member of the Nominating Committee of the Company. He graduated in Law from Universita degli Studi di Milano in 1992. In 1992, he entered the legal profession and is currently a partner in d'Urso Gatti e Associati, principally concentrating on corporate and financial market law. Francesco Guidotti

 Dr. Francesco Guidotti has served as Chief Financial Officer and Financial Reporting Officer of YOOX SpA since July 1, 2010. Prior to his appointment he served as Chief Financial Officer of the Company from May 2003 to October 2006. He also served as Member of the Supervisory Body of the Company. He graduated in Business Economics from Universita degli Studi di Roma La Sapienza in September 1992. He started his career in 1992 as Financial Controller at the Brussels branch of Pirelli Bedding Benelux. In 1996, he became the Financial Manager of Ethicon Endo-Surgery, a subsidiary of Johnson & Johnson, following which, in 1997 he joined TAG Heuer Italia SpA, a subsidiary of the Louis Vuitton Moet Hennessy Group, where he first held the role of CFO for the Italian subsidiary, and then that of Financial Controller for Europe in Neuchatel, Switzerland, from 1999. In October 2000, he became CFO at Zenith Italia SpA (Milan) and OMAS Srl (Bologna), both companies of the Louis Vuitton Moet Hennessy Group. Between October 2001 and May 2003 he held the position of Financial Controller for the Bulgari Group in Neuchatel, Switzerland, and then moved to YOOX SpA to hold the position of CFO until October 2006. In November 2006 he joined the PINKO Group as CFO and from April 2008 to June 2010 held the position of CFO of the TAS Group.

Giuseppe Guillot

 Mr. Giuseppe Guillot has served as Chief Operating Officer of YOOX SpA since 2012. He also served as Interim Human Resources Director and Director of Technology of the Company. He joined the Company in 2007 first as Business Process Re-engineering Manager, then as the Company's Quality Assurance Manager and, subsequently, as Manager of the Office of the Chief Executive Officer. He started his professional career in 1995, as a financial analyst at Fincorp (New York). In 1999, he joined Zeborg in New York (formerly the Mitchell Madison Group), serving as an associate and director before being elevated to the position of Senior Director of B2B e-Sourcing Services. He remained in that role following the acquisition of Zeborg by Emptoris (New York). Between 2005 and 2007 he worked as a B2B e-Sourcing consultant for Swedish multinationals in partnership with IBX of Stockholm. Alberto Grignolo

 Mr. Alberto Grignolo has served as General Manager of YOOX SpA since 2011. Prior to his appointment he served as Commercial Director of the Company as from 2007. He started his professional career in 1999 at I.E.P. Bocconi as a micro/macroeconomic data analyst in the Clas Research Center Group. In 2000, he became the Budgetary Data Research Project Leader at Istituto Tagliacarne. She graduated in Management Engineering from the Universita degli Studi di Padova and started her professional career in 1998 at Diesel as Supply Chain Project Manager. In 2001, she moved to Bulgari where she held the position of HR and Organization Specialist. Alessandro Montanari

 Mr. Alessandro Montanari has served as Human Resources & Organization Director of YOOX SpA since January 2011. He graduated in Political Science from from Universita Cattolica del Sacro Cuore of Milan. He started his professional career in 1995 at Andersen Consulting (afterwards Accenture) as a Change Management & Human Performance consultant. In 2005, he joined TNT Post Italy, as Learning & Development Manager. In 2006 he joined Gabetti Property Solutions as Head of Organization and the following year he became the HR & Organization Director.

 Ms. Silvia Scagnelli has served as Head of Investor Relations of YOOX SpA since October 29, 2009.  Mr. Luca Martines has served as Director Asia Pacific of YOOX SpA since 2012. He graduated in Political Science from the Universita degli Studi di Roma La Sapienza and started his professional career in 2000 as founder and co-director of Art Lab Zone, an arts laboratory in Rome. In 2002, he worked as a press officer and diplomatic attaché at Nave Scuola Amerigo Vespucci (the Amerigo Vespucci navy training ship) during Missione Antipodi. He also collaborated with the Historical Archives of the Italian Navy as a researcher and archivist from 2001 to 2003. Later, in 2004, he became Business Development Manager for Southern Europe at Mypix.com, a start-up of the Paris-based Dixons Group, where he gained experience mainly in web marketing and CRM. In 2005, he joined Yoox SpA as Marketing & CRM Director, with responsibility for managing all web marketing activities worldwide, including in the Asia Pacific area.

Paolo Mascio

 Mr. Paolo Mascio serves as Commercial Director Online Stores of YOOX SpA. He graduated in Economics and Commerce from Universita Commerciale Luigi Bocconi, and started his professional career in 1993 in the marketing departments of consumer goods multinationals such as Kraft and Coca-Cola. In 1999, he joined the L'Espresso Group as Marketing Director of the radio business, subsequently managing an Internet start-up specializing in digital video production. From 2004 to 2009, he worked at Mandarina Duck, first as Marketing & Communication Director and later as International Retail Director. In 2009, Mr. Mascio joined YOOX SpA.

Gabriele Tazzari

 Mr. Gabriele Tazzari has served as Strategy, Governance and Innovation Director of YOOX SpA since 2012. He served as Research & Development Director of YOOX SpA between 2011 and 2012. Prior to his appointment he served as Chief Technology Officer of the Company as from 2000. He graduated in Electronics Engineering from the Universita degli Studi di Bologna. He started his professional career in 1996 as Area Manager at Nexus, where he remained until 2000, co-founding HG LAB / Linkproject in the meantime in 1998.

Massimo Giaconia

 Dr. Massimo Giaconia has served as Non-Executive Lead Independent Director of YOOX SpA since October 29, 2009. He was Non-Executive Independent Director of the Company as from March 2009. He is also Chairman of the Company’s Audit, Nominating and Related Parties Transactions Committees, as well as Member of the Company’s Remuneration Committees. Elserino Piol

 Dr. Elserino Mario Piol has served as Non-Executive Independent Director of YOOX SpA since March 9, 2005. He is also Chairman of the Company’s Remuneration Committee and Member of the Audit Committee as well as Member of the Related Parties Transactions Committee of the Company. He began his professional career with Olivetti in 1952, where he remained until 1996 after serving as Deputy Chairman of Olivetti and Chairman of Olivetti Telemedia. He has been involved in venture capital activities since 1980, initially for Olivetti. He is currently Chairman of Pino Partecipazioni SpA, as well as Chairman of the Federation of Web Operators (Fedoweb). Mark Evans

 Mr. Mark Evans has served as Non-Executive Director of YOOX SpA since 2003. He graduated in Economics from Queen’s University. He holds also a Masters degree in Literature from University of Oxford. He began his professional career at Goldman Sachs, where he worked for 15 years at that firm's offices in Europe, Asia and the United States. Catherine Gerardin-Vautrin

 Ms. Catherine Gerardin-Vautrin has served as Non-Executive Independent Director of YOOX SpA since October 29, 2009. She is also Member of the Company’s Remuneration and Nominating Committees of the Company. She obtained a Masters degree in English and French Law jointly from Universite Paris IV, Sorbonne Universites and King’s College London. She graduated also from Business School HEC in 1983. She started her professional career as a product manager in the marketing department of a textile company. In 1992, she entered the Louis Vuitton maison in Paris. At first, she was in charge of the development of the image of Louis Vuitton shops around the world and, subsequently, she became director of pret a porter, supporting the artistic director of the Marc Jacobs maison. In 2000, she started working for Emilio Pucci and led its recovery for seven years, first in the position of Chief Executive Officer and subsequently also as Chairman. In 2008-2009, she was Chief Executive Officer of a start-up company in the fashion industry.

Raffaello Napoleone

 Dr. Raffaello Napoleone has served as Non-Executive Independent Director of YOOX SpA since July 1, 2010. He was Director of the Company from May 16, 2007 to October 29, 2009. He also serves as Member of the Audit and Related Parties Transactions Committee within the Company. He graduated in Law from Universita degli Studi di Roma La Sapienza and studied executive management and executive marketing at Stanford University. He began his career in 1976 in the commercial division of Italvela Srl, a yachting agent. In 1978 he was a founder member of Nauta Snc. From 1984 to 1986, he worked at the Florence office of Les Laboratoires Servier, where as general secretary he was mainly responsible for personnel management. Between 1986 and 1989 he was Head of personnel at Salvatore Ferragamo SpA. Since 1989 he has held the post of Managing Director of Pitti Immagine Srl, a non-profit company which organises international trade fairs in the textiles/clothing sector.
