Ever-Glory International Group, Inc. (Ever-Glory), incorporated on October 19, 1994, is a holding company that oversees the operations of its subsidiaries, and provides its subsidiaries with resources and services in financial, legal, administrative and other areas. The Company is engaged in the production and sales of apparel to casual wear, sportswear and outerwear brands in various markets worldwide. The Company's apparel products are manufactured in China, with three operational facilities located in the Nanjing Jiangning Economic and Technological Development Zone and Shang Fang Town in Nanjing. Its three factories with an annual production capacity of more than 12 million pieces. Ever-Glory conducts its business principally through its fully-owned Chinese subsidiaries: Goldenway Nanjing Garments Company Limited (Goldenway), Nanjing New-Tailun Garments Company Limited and Nanjing Catch-Luck Garments Co., Ltd.

On January 24, 2008, Ever-Glory established a joint venture with La Chapelle Garments Co., Ltd., a Shanghai-based womens’ fashion retailer operating a retail network of over 350 outlets in China. Ever-Glory International Group Apparel Inc.(Ever-Glory Apparel), is a wholly owned subsidiary of Goldenway.

Ever-Glory makes an array of products in various categories for the women’s, men’s and children markets. Within those categories, various product classifications including high and middle grade casual-wear, sportswear and outwear are offered. The Womens’ Clothing line comprises a variety of coats, jackets, slacks, skirts, shirts, trousers, and jeans. The Mens' Clothing line includes vests, jackets, trousers, skiwear, shirts, coats and jeans. Clothing products for children include coats, vests, down jackets, trousers, knitwear and jeans. The Company produces garments for several retail chains and international brands. It also has its own in-house design capabilities and can provide customers with a selection of original designs that the customer may have custom-ordered. The Company supplies its customers’ through purchase orders, and has no long-term supply contracts with any of its customers.

During the year ended December 31, 2008, the Company’s sales to five largest customers accounted for 52% of its total net sales. During 2008, approximately 54% of the Company's sales were generated in Europe, 17% in the United States, 17% in Japan, and 12% in China. In 2008, the Company manufactured approximately 30% of the products that it sold at its own manufacturing facilities.
