Genesee & Wyoming Inc., incorporated on September 1, 1977, owns and operates short line and regional freight railroads and provide railcar switching services in the United States, Australia, Canada and the Netherlands. The Company also owns a minority interest in a railroad in Bolivia. As of December 31, 2008, it operated over approximately 6,800 miles of owned and leased track, and approximately 3,100 additional miles under track access arrangements. The Company operated in 26 states in the United States, five Australian states, and two Canadian provinces and provided rail service at 16 ports in North America and Europe.
In April 2008, Genesee & Wyoming completed the acquisition of Rotterdam Rail Feeding (RRF). In June 2008, the Company completed the acquisition of CAGY Industries, Inc. In October 2008, the Company acquired 10 short line railroads known as the Ohio Central Railroad System (OCR). In addition, in October 2008, the Company acquired Georgia Southwestern Railroad, Inc.
As of December 31, 2008, through its subsidiaries and unconsolidated affiliate, the Company owned, leased or operated 63 short line and regional freight railroads with approximately 6,800 miles of track in the United States, Australia, Canada, the Netherlands and Bolivia. It generates revenues primarily from the haulage of freight by rail over relatively short distances. Freight revenues represented 61.5% of its total revenues during the year December 31, 2008.
The Company generates non-freight revenues primarily through the five activities: railcar switching, which consists of revenues from industrial switching (the movement of railcars within industrial plants and their related facilities) and customer switching (the movement of customer railcars from one track to another track on the same railroad, primarily at United States ports); fuel sales to third parties, which includes revenues earned by Genesee & Wyoming Australia Pty Ltd (GWA) in South Australia from the sale of diesel fuel to other rail operators; car hire and rental services, which includes charges paid by other railroads for the use of the Company’s railcars; demurrage and storage, which includes charges to customers for holding or storing their railcars, and car repair services, which includes charges for repairing freight cars owned by others. Non-freight revenues represented 38.5% of total operating revenues in 2008. Railcar switching represented 42.4% of total non-freight revenues in 2008.
