The PNC Financial Services Group, Inc. (PNC), incorporated on 1983, is a diversified financial service company. The Company is engaged in four business segments: retail banking, corporate and institutional banking, BlackRock, and Global Investment Servicing. In 2009, PNC focuses on adding three more segments: Residential Mortgage Banking, PNC Asset Management Group and Distressed Assets Portfolio. During the year ended December 31, 2008, the Company consisted of three domestic subsidiary banks, including their subsidiaries, and approximately 79 active non-bank subsidiaries. On December 31, 2008, the Company completed the acquisition of National City Corporation. Prior to the National City acquisition, PNC had businesses engaged in retail banking, corporate and institutional banking, asset management, and global investment servicing, providing many of its products and services nationally and others. PNC also provided certain investment servicing internationally.

On April 4, 2008, the Company completed the acquisition of Lancaster, Pennsylvania-based Sterling Financial Corporation. On March 31, 2008, the Company completed the selling of J.J.B. Hilliard, W.L. Lyons, LLC, a Louisville, Kentucky-based wholly owned subsidiary of PNC and a full-service brokerage and financial services provider, to Houchens Industries, Inc.

BlackRock

BlackRock is an investment management firm in the United States. BlackRock manages assets on behalf of institutional and individual investors globally, through a range of fixed income, cash management, equity and balanced and alternative investment separate accounts and funds. In addition, BlackRock provides risk management, investment system outsourcing and financial advisory services globally to institutional investors. In 2008, the Company’s equity ownership interest in BlackRock was 33%.

Global Investment Servicing

Global Investment Servicing, formerly PFPC, is a provider of processing, technology and business intelligence services to asset managers, broker-dealers, and financial advisors globally. Securities services include custody, securities lending, and accounting and administration for funds. Investor services include transfer agency, sub accounting, banking transaction services, and distribution. Financial advisor services include managed accounts and information management.

Retail banking

Retail banking provides deposit, lending, brokerage, trust, investment management, and cash management services to over six million consumer and small business customers within the geographic markets. In 2008, the customers were serviced through 2,589 offices in the branch network, the call center and the Internet. The branch network is located primarily in Pennsylvania, New Jersey, Washington, DC, Maryland, Virginia, Delaware, Ohio, Kentucky, Indiana, Illinois, Michigan, Missouri, Florida and Wisconsin.

Retail Banking also serves as investment manager and trustee for employee benefit plans and charitable and endowment assets and provides nondiscretionary defined contribution plan services. These services are provided to individuals and corporations primarily within the primary geographic markets.

Corporate and institutional banking

Corporate and institutional banking provides lending, treasury management, and capital markets-related products and services to mid-sized corporations, government entities, and selectively to large corporations. Lending products include secured and unsecured loans, letters of credit and equipment leases. Treasury management services include cash and investment management, receivables management, disbursement services, funds transfer services, information reporting, and global trade services.

Capital markets-related products and services include foreign exchange, derivatives, loan syndications, mergers and acquisitions advisory and related services to middle-market companies, securities underwriting, and securities sales and trading. Corporate and institutional banking also provides commercial loan servicing, and real estate advisory and technology solutions for the commercial real estate finance industry. Corporate and institutional banking provides products and services generally within the geographic markets with certain products and services offered nationally.
