Robbins & Myers, Inc. is engaged in the supply of engineered equipment and systems for critical applications in global energy, industrial, chemical and pharmaceutical markets. The Company operates in three segments: Fluid Management business segment, Process Solutions business segment and Romaco business segment. On June 9, 2009, the Company purchased the remaining 24% interest in its Suzhou subsidiary.

Fluid Management Business Segment

The Company’s fluid management business segment designs, manufactures and markets equipment and systems used in oil and gas exploration and recovery, specialty chemical, wastewater treatment and a variety of other industrial applications. Primary brands include Moyno, Yale, New Era, TARBY and Hercules. Its products and systems include hydraulic drilling power sections; down-hole and industrial progressing cavity pumps and related products, such as grinders for applications involving the flow of viscous, abrasive and solid-laden slurries and sludge; and a line of ancillary equipment, such as rod guides, rod and tubing rotators, wellhead systems, pipeline closure products and valves. These products and systems are used at the wellhead and in subsurface drilling and production.

The Company sells its rotors and stators for hydraulic drilling power sections through a direct sales force. It sells the tubing wear prevention products, down-hole pump systems, wellhead equipment, closure products and industrial pumps through distributors, as well as its direct sales force and service centers in key oilfield locations worldwide. Aftermarket sales consist principally of selling replacement components for its pumps, as well as the relining of stators and the refurbishment of rotors for the energy market. During the fiscal year ended August 31, 2009 (fiscal 2009), aftermarket sales represented approximately 26% of the sales in this segment. Sale of power section rotors and stators, down-hole pump rotors and rod guides are sold as complete products.

Process Solutions Business Segment

The Company’s process solutions business segment designs, manufactures and services glass-lined reactors and storage vessels, standard and customized fluid-agitation equipment and systems, thermal and other fluid systems and customized fluoropolymer-lined fittings, vessels and accessories, primarily for the pharmaceutical and specialty chemical markets. Primary brands are Pfaudler, Tycon-Technoglass, Chemineer and Edlon. The Company primarily markets and sells glass-lined reactors and storage vessels and thermal and other fluid systems through its direct sales force, as well as manufacturers’ representatives. Industrial mixers, agitation equipment and corrosion resistant products are primarily sold through manufacturers’ representatives.

Romaco Business Segment

The Company’s romaco business segment designs, manufactures and markets packaging and secondary processing equipment for the pharmaceutical, healthcare, nutriceutical, food and cosmetic industries. Packaging applications include dosing, filling and sealing of vials, capsules, tubes, bottles and blisters; tablet counting and packaging for bottles; blister and powder packaging for various products, including tablets and powder; customized packaging, as well as secondary processing for sauces and semi solids. Primary brands are Noack, Siebler, FrymaKoruma, Macofar and Promatic. It sells Romaco products through its direct sales and service centers. The Company supplements its direct sales force with a network of manufacturers’ representatives and third party distributors.
