VCG Holding Corp. (VCG Holding Corp. or VCG), incorporated in 1998, is in the business of acquiring, owning and operating nightclubs, which provide live adult entertainment, restaurant and beverage services. As of December 31, 2008, the Company, through its subsidiaries, owns and operates 20 nightclubs in Indiana, Illinois, Colorado, Texas, North Carolina, Minnesota, Kentucky, Maine, Florida and California. The Company operates under the brand names, Diamond Cabaret, PT’s, Jaguar’s Gold Club, Penthouse, Pet of the Month, Pet of the Year, Three Key Logo and One-Key Logo. The Company owns International Entertainment Consultants, Inc. (IEC), which provides management services to its nightclubs. During the year ended December 31, 2008, the Company acquired Jaguar’s Gold Club and Imperial Showgirls Gentlemen’s Club. Its subsidiaries include PT’s Showclub, Diamond Cabaret, The Penthouse Club, Schiek’s Palace Royale, The Men’s Club and LaBoheme Gentlemen’s Club.

The Company’s nightclub facilities have state of the art sound systems, lighting and stage design. Three of its nightclubs offer very important person (VIP) rooms. Its VIP rooms are open to individuals who purchase annual memberships. VCG’s nightclubs offer bar and food service. Three of its nightclubs offer a full service restaurant that provides customers with food, service and luxury. The nightclubs that carry bring your own bottle permits (BYOB), sell non-alcoholic beverages. The Company has five nightclubs that own trade names, namely Glenarm Restaurant, LLC, RCC, LP, Classic Affairs, Inc., VCG-IS, LLC and Stout Restaurant Concepts, Inc.
