Werner Enterprises Inc., incorporated in September 14, 1982, is a transportation and logistics company engaged primarily in hauling truckload shipments of general commodities in both interstate and intrastate commerce. The Company also provides logistics services through its Value Added Services (VAS) division. During the year ended December 31, 2008, it had a fleet of 7,700 trucks, of which 7,000 were owned by the Company and 700 were owned and operated by independent owner-operator drivers. It has two segments: Truckload Transportation Services (Truckload) and VAS.

The Company’s Truckload segment consists of the six operating fleets: dedicated services (Dedicated) provides truckload services required by a specific customer, generally for a distribution center or manufacturing facility; the regional short-haul (Regional) fleet provides comparable truckload van service within five geographic regions across the United States; the medium-to-long-haul van (Van) fleet transports a variety of consumer nondurable products and other commodities in truckload quantities over irregular routes using dry van trailers; the expedited (Expedited) fleet provides time-sensitive truckload services utilizing driver teams, the flatbed (Flatbed), and temperature-controlled (Temperature-Controlled) fleets provide truckload services for products with specialized trailers. Its Truckload fleets operates throughout the 48 contiguous United States states. It also has authority to operate in several provinces of Canada and to provide through- trailer service in and out of Mexico. The principal types of freight it transports include retail store merchandise, consumer products, manufactured products and grocery products.

The Company’s VAS segment is a non-asset-based transportation and logistics provider. VAS consists of four operating units that provide non-trucking services to its customers: truck brokerage (Brokerage); freight management (single-source logistics) (Freight Management); intermodal (Intermodal), and Werner Global Logistics (WGL). Its Brokerage unit had transportation services contracts with over 6,400 carriers as of December 31, 2008. Through its WGL subsidiaries, it is a licensed United States Non-Vessel Operating Common Carrier (NVOCC), United States Customs Broker, Class A Freight Forwarder in China, China NVOCC, United States, Transportation Security Administration (TSA)-approved
