Active Power, Inc. (Active Power) incorporated on March 29, 2000, designs, manufactures and services uninterruptible power supply (UPS) products and modular infrastructure solution (MIS) products that provide electrical power continuity and integrated infrastructure platforms for data centers and other mission critical applications. Its products and solutions are designed to deliver continuous conditioned power during power disturbances and outages, voltage sags and surges, and provide ride-through power in the event of utility failure, supporting operations until utility power is restored or a longer term alternative power source, such as a diesel generator is engaged. As of December 31, 2012, it had shipped more than 3,500 flywheels in UPS system installations, delivering more than 900 megawatts of power to customers in 57 countries around the world, providing nearly 150 million runtime hours of operation. It also manufactures and sells modular infrastructure solutions that provide critical power and infrastructure in a pre-packaged format. It manufactures and sells modular power infrastructure products that integrate its UPS products with other related equipment such as switchboards and backup diesel generators and is sold as a complete power solution for customers. During the year ended December 31, 2012, 57% of its product revenue came from the sale of UPS systems, 43% from the sale of modular infrastructure solutions.

CleanSource UPS

Active Power has integrated flywheel UPS system, which integrates UPS power electronics with flywheel energy storage technology. It markets its flywheel-based UPS systems under the brand name CleanSource UPS. CleanSource UPS is a battery-free UPS system, which integrates normal UPS electronics and its flywheel energy storage system into one compact cabinet lineup. As of December 31, 2012, it offered CleanSource UPS products in power configurations ranging from 1.5 megavolt ampere (MVA). Combining CleanSource UPS with a generator provides customers with short- and long-term protection in the event of a power disturbance. During 2012, UPS products, branded by Active Power or its original equipment manufacturer (OEM) partners represented 48% of its total revenue.

Modular Infrastructure Solutions

The Company packages its CleanSource UPS along with a generator, switch gear, monitoring and controls software, its generator starting module (known as GenSTART), an optional cooling system, and a maintenance package into a fully integrated system. It offers all of these components in a pre-packaged containerized solution offering it markets under the brand name PowerHouse. PowerHouse is packaged in a purpose-built enclosure with size and features depending upon the customer’s power load requirements. Its systems are offered in eight standard modular power configurations, enabling sizing for power (and cooling) infrastructure on demand.

The Company manufactures containerized infrastructure solutions designed to specification for select business partners. These solutions serve as the infrastructure for containerized data center products which are self-contained fully-functional data centers.

Active Power designs and delivers the exterior shell and a fully outfitted interior, including electrical, cooling, monitoring, and other elements, ready for the customer to add its information technology (IT) racks and servers. After the customer adds its IT equipment to its containerized infrastructure solution, the customer has a functional data center. During 2012, its Modular Infrastructure Solutions represented 35% of total revenue.


The Company delivers customer support, which offers clients assessment, implementation and lifecycle support services for all Active Power products and systems. It offers services to its customers, which include infrastructure needs assessment, vetting and validation, alignment with business objectives, system design, deployment, start-up and commissioning, and service, support and monitoring. It offers four tiers of maintenance programs specifically designed to deliver on both the long-term preventive maintenance requirements for the system and a client’s need for support. During 2012, service revenues represented 14% of its total revenue.
