TD Ameritrade Holding Corporation (TD AMERITRADE) is a provider of securities brokerage services, and technology-based financial services to retail investors and business partners.The Company provides securities brokerage services, including trade execution, clearing services and margin lending. The Company provides trustee, custodial and other trust-related services to retirement plans and other custodial accounts. The Company provides a suite of investor education products and services. The Company also provides cash sweep products through third-party banking relationships. The Company provides its services through the Internet, a national branch network and relationships with registered investment advisors (RIAs). The Company’s subsidiary TD AMERITRADE Clearing, Inc. (TDA Clearing) provides clearing and execution services to the broker-dealer subsidiary, TD AMERITRADE, Inc. (TDA Inc.). Clearing services include the confirmation, receipt, settlement, delivery and record-keeping functions involved in processing securities transactions. On June 11, 2009, the Company completed the acquisition of thinkorswim Group Inc.

The Company’s client offerings include TD AMERITRADE, TD AMERITRADE Institutional, Amerivest and TD AMERITRADE Corporate Services. The products and services available to the clients include common and preferred stock, exchange-traded funds (ETF), option trades, futures and foreign exchange trades, mutual funds, fixed income, margin lending and cash management services. TD AMERITRADE is the Company’s offering for self-directed retail investors. It offers tools and services, including TD AMERITRADE Command Center 2.0, SnapTicket, Trade Triggers, QuoteScope, Advanced Analyzer, Market Motion Detector, Pattern Matcher, StrategyDesk and WealthRuler. The Company offers Ameritrade Apex for clients who place an average of five trades per month over a three-month period or maintain a total account value of at least $100,000. TD AMERITRADE Institutional is a provider of brokerage and custody services. In addition, TD AMERITRADE Institutional provides a robust offering of products, programs and services. thinkorswim, Inc. (TOS Inc.) provides a suite of trading platforms serving self-directed and institutional traders and money managers.

thinkorswim clients trade a range of products, including stock and stock options, index options, futures and futures options, foreign exchange, mutual funds and fixed income. thinkorswim from TD AMERITRADE is a platform that delivers several trading tools and investment analytics. thinkorswim’s Investools Inc. subsidiary (Investools) offers a suite of investor education products and services for stock, option, foreign exchange, futures, mutual fund and fixed-income investors. Amerivest is an online advisory service that develops portfolios of ETFs to help long-term investors. TD AMERITRADE Corporate Services provides self-directed brokerage services to employees and executives of corporations, either directly in partnership with the employer or through joint marketing relationships with third-party administrators, such as 401(k) providers and employee benefit consultants.

The Company’s clients can purchase common and preferred stocks and American Depository Receipts traded on any United States exchange or quotation system. It has launched an online resource dedicated to ETFs, which offers tools, education and information for active and long-term investors seeking alternatives for pursuing their investment strategies. The Company offer a range of option trades, including spread, straddles and strangles. All option trades, including complex trades, are accessible on the Company’s trading platform. Through its TOS Inc. broker-dealer subsidiary, the Company offers futures and foreign exchange trades on the thinkorswim trading platform. The clients can compare and select from a portfolio of over 13,000 mutual funds from the fund families, including a range of no-transaction-fee (NTF) funds.

The Company offers its clients access to a variety of treasury, corporate, government agency and municipal bonds, as well as mortgage-backed securities and certificates of deposit. The Company also extend credit to clients that maintain margin accounts. Through third-party banking relationships, the Company offers deposit accounts and money market mutual funds to the clients as cash sweep alternatives. It also offers checking and automated teller machine (ATM) services through these relationships. The Company provides its clients with a range of channels to access the products and services. These include the Internet, network of retail branches, wireless telephone or personal digital assistant, interactive voice response and registered representatives through telephone.

The Company competes with E*TRADE Financial Corporation, Charles Schwab & Co., Inc., Fidelity Investments, Scottrade, Inc., Merrill Lynch and Morgan Stanley Smith Barney.
