Axion International Holdings, Inc. (Holdings), formerly Analytical Surveys, Inc (ASI), is a development-stage company. The Company was formed to provide data conversion and digital mapping services to users of customized geographic information systems. The Company transitioned its principal business into that of an independent oil and gas enterprise, focused on leveraging non-operating participation in drilling and production prospects for the development of United States on-shore oil and natural gas reserves. On March 20, 2008, ASI consummated an Agreement and Plan of Merger (the Merger), among Holdings, Axion Acquisition Corp. and direct wholly owned subsidiary of the Holdings, (the Merger Sub), and Axion International, Inc. (Axion), with operations commencing in November 2007. Pursuant to the Merger, the Merger Sub was merged into Axion, with Axion continuing as the surviving corporation and a wholly owned subsidiary of Holdings.

Axion is the licensee of patented technologies developed for the production of structural plastic products, such as railroad crossties, bridge infrastructure, marine pilings and bulk heading. As of September 30, 2008, the Company’s operations consisted of raising capital and preparing for its commercial product sale.
