BGC Partners, Inc. (BGC), incorporated on June 3, 1999, is a global brokerage company primarily servicing the wholesale financial markets, specializing in the brokering of a range of products, including fixed income securities, interest rate swaps, foreign exchange, equities, equity derivatives, credit derivatives, commercial real estate, property derivatives, commodities, futures and structured products. BGC also provides a range of services, including trade execution, broker-dealer services, clearing, processing, information, property and facilities management, and other back-office services to a broad range of financial and non-financial institutions. The Company’s integrated platform is designed to provide flexibility to customers with regard to price discovery, execution and processing of transactions, and enables them to use voice, hybrid, or in many markets, fully electronic brokerage services in connection with transactions executed either over the counter (OTC) or through an exchange. In August 2, 2011, the Company acquired CantorCO2e, L.P. In October 14, 2011, the Company acquired Newmark & Company Real Estate, Inc., which operates as Newmark Knight Frank. In April 2012, it acquired the assets of Grubb & Ellis Company. In January 2013, the Company acquired Frederick Ross Company. In January 2013, the Company acquired Smith Mack. In January 2013, the Company's subsidiary BGC France Holdings acquired Ginalfi Finance. In February 2013, BGC Brokers L.P., acquired the business and certain assets of Sterling International Brokers Limited. In July 2013, BGC Partners Inc announced that it closed the sale of its on-the-run, 2-, 3-, 5-, 7-, 10-, and 30-year fully electronic trading platform for United States Treasury Notes and Bonds to NASDAQ OMX Group, Inc.
Through the Company’s eSpeed, BGC Trader and BGC Market Data brands, BGC Partners offers financial technology solutions, market data, and analytics related to select financial instruments and markets. Through its Newmark Knight Frank brand, the Company offers commercial real estate tenants, owners, investors and developers a range of brokerage services, as well as property and facilities management. Its customers include banks, broker-dealers, investment banks, trading firms, hedge funds, governments, corporations, property owners, real estate developers and investment firms. The Company is focused on serving four principal brokerage markets: traditional, liquid brokerage markets, such as government bonds; high margin, and often illiquid markets, such as emerging market bonds and single name credit derivatives; targeted local markets throughout the world, such as Rates products in Brazil, and commercial real estate markets in United States cities and in other locations. As of December 31, 2011, it had 2,147 brokers and salespeople across more than 220 desks and products.
The Company provides electronic marketplaces in several financial markets through its eSpeed- and BGC Trader- branded trading platform. These electronic marketplaces include government bond markets, spot foreign exchange, foreign exchange options, corporate bonds, and credit default swaps. The Company’s end-to-end solution includes real-time and auction-based transaction processing, credit and risk management tools and back-end processing and billing systems. Customers can access the Company’s trading application through its privately managed global high speed data network, over the Internet, or third party communication networks.

The Company provides screen-based market solutions to both related and unrelated parties. Using Software Solutions, its clients are able to develop a marketplace, trade with their customers, issue debt, trade odd lots, access program trading interfaces and access its network and its intellectual property. The Company adds advanced functionality to enable its customers to distribute branded products to their customers through online offerings and auctions, including private and reverse auctions, through its trading platform and global network. Through its Kleos Managed Services business, the Company provides system co-location service to a number of financial firms which use its infrastructure to run their high velocity and algorithmic trading strategies through access to its markets.
The Company uses its technology to offer services, such as automated spreading through its eSpeed network front-end trading software. The Company’s Software Solutions business provides the software and technology infrastructure for the transactional and technology related elements of Freedom International Brokerage Company’s (Freedom) marketplace, as well as certain other services in exchange for specified percentages of transaction revenues from the marketplace. It also provides software development, software maintenance, customer support, infrastructure, and internal technology services to support ELX’s electronic trading platform.
