BroadSoft, Inc. (BroadSoft), incorporated on November 17, 1998, is a is a global provider of software and services that enable mobile, fixed-line and cable service providers to deliver unified communications (UC) and other voice and multimedia services over their Internet protocol-based (IP-based) networks. The Company’s core communications platform consists of three offerings: BroadWorks, BroadCloud, and BroadTouch. On August 6, 2012, the Company acquired the assets of Adaption Technologies Ventures, Ltd.

The Company’s BroadWorks software enables its service provider customers to provide enterprises and consumers with a range of hosted communications offerings, such as hosted private branch exchange (PBX) (also referred to as hosted IP Centrex), voice and video calling, session initiation protocol (SIP) trunking, voice and video mail, call center and audio conferencing, as well as fourth generation (4G) or long term evolution (LTE) offerings. BroadWorks performs a critical network function by serving as the software element that delivers and coordinates call control, voice, video and messaging communications through a service provider’s IP-based network. The Company enables carriers to offer these UC services across their broadband and wireless networks to a broad range of smartphones, tablets, laptops and other end user devices.

The Company provides unified communications, or UC, offerings such as Web collaboration, video conferencing, instant messaging, or IM, and presence. BroadCloud cloud services are offerings hosted and/or managed by the Company, and resold by service providers under their brand. In addition, the Company introduced BroadCloud PBX which provides to its service provider customers many of the BroadWorks hosted PBX features and functions but accessed by the service providers through a service offering hosted and managed by the Company. The Company also offers its BroadCloud PBX and Web collaboration services directly to enterprises.

The Company’s BroadTouch client communications applications allow service providers to put the power of voice, video and its other UC services in the hands of the end user across a broad array of smartphone, tablet, laptop and other end user devices. In October 2012, the Company introduced its UC-One offering, a set of bundled UC services that combines the power of BroadWorks, BroadTouch and BroadCloud enabled-Unified Communications into a seamless and consistent end user experience. With UC-One, service providers can offer their customers the ability to communicate using one familiar user interface from any of the user’s devices, simplifying access to a fully integrated UC experience including voice, video, messaging, conferencing and collaboration. Its UC-One offerings are optimized for a range of broadband, WiFi and third generation (3G), 4G and mobile networks.

BroadSoft Enterprise Applications

Hosted unified communications enables service providers to offer enterprises advanced IP PBX and UC features through a hosted service rather than through premises-based equipment, such as PBXs. The advanced IP PBX and UC features the Company offers to enterprises through BroadWorks’ hosted unified communications application include PBX functionality, such as call control, call waiting, call forwarding and conference calling; multimedia communications support for voice and video calling real-time integration of offerings across fixed and mobile devices and networks; integrated voice, video and fax messaging enhanced features, such as auto attendants, call centers and conferencing, and regulatory functions, such as emergency calling (E911) and lawful intercept (CALEA) and geographic redundancy and disaster recovery.

BroadCloud Unified Communications Service Delivery Platform

BroadCloud enables the Company to offer its service provider customers communications applications such as BroadCloud PBX functionality, as well as Web collaboration, video conferencing and fixed line short message service, or SMS, from its cloud service delivery platform. With BroadCloud offerings, the Company is able to expedite its service provider customers’ time to market by hosting this set of applications, such as UC solutions and enhanced consumer services, in its network.

BroadTouch IP Communications Clients

The Company enables its service provider customers to offer compelling end user client experiences utilizing its BroadTouch IP clients for personal computers, smartphones and tablets (these clients are often referred to as soft phones). BroadTouch clients allow enterprise and consumer end-users the full range of the service provider’s BroadSoft UC services through a service provider-branded client experience.

UC-One

The Company’s UC-One offering is a set of bundled UC services that allows service providers to offer their customers the ability to communicate from any of the user’s devices using one familiar, easy to use user interface. Its UC One offerings are optimized for a range of network architectures and all UC-One products and services have been architected to provide full mobile integration.

SIP Trunking

BroadWorks’ SIP Trunking enables service providers to provide IP interconnectivity and additional services to enterprises that already have CPE-based IP PBXs, PBXs and/or video endpoints. With SIP Trunking, service providers are able to bundle voice, which interconnects to either circuit or IP-based networks, and data over a single converged IP pipe, creating a more economical offering than can be achieved with separate voice and data connections.

BroadSoft Consumer Applications

The Company’s consumer IP applications offer voice and multimedia telephony services with voice calling, video calling, enhanced messaging, content sharing and Web interfaces. They also provide full regulatory compliance for fixed-line, mobile and cable service providers. In addition, it enables BroadWorks-powered service providers to differentiate their offerings through advanced feature sets for managing family and small office/residential office communications, including multiple lines, video calling and mobility support.

BroadSoft Xtended and Xcelerate Programs

The Company’s BroadSoft Xtended program is designed to enable its service provider customers to create and/or deploy differentiated IP-based communications services using BroadWorks. BroadSoft Xtended is premised on three operating principles: Expanding familiarity with Web services APIs, the RESTful Xtended Services Interface, or Xsi, exposes its BroadWorks software to other applications; Maintaining community, an developer community driven by the BroadSoft Xtended developer program is created; and Promoting commerce, the Xtended Marketplace allows developers to monetize their applications by enabling service providers to purchase developer applications through the Xtended Marketplace.

Global Support Services

The Company offers services designed to deliver comprehensive support to its service provider customers and distribution partners through every stage of product deployment. Its worldwide sales engineering group works with its direct sales force to provide demonstrations, architecture consulting, interoperability testing and related services in connection with product sales opportunities to establish the capability, functionality, scalability and interoperability of its software with a service provider’s network. Its professional services group provides installation services, such as planning, consulting and staging of software on the customer’s hardware, as well as installation and network integration services, project management and remote upgrades. It also offers its customers the option of longer-term engagements in the form of resident engineering services. In addition, it offers a suite of consulting services, including network planning, network architecture definition, back office consulting and solution verification. It maintains operations centers around the world to provide its customers with product life cycle services, such as platform support and maintenance services. It also hosts its BroadCloud offerings in select operations centers. Members of its technical assistance center and regional project management and professional services teams provide remote assistance to customers via these locations and its Web support portal, including periodic updates for its software products, and product documentation. It offers an array of training services to its customers, which include systems administration, provisioning and advanced diagnostic courses. It presents these courses regularly at its regional centers and headquarters, and it also can deliver versions of the courses at customer sites. It also offers product and feature training via streaming video courses, which it refers to as its eLearning offerings, as well as a product certification program that is available through its BroadSoft University Website.
