Capital One Financial Corporation, incorporated on July 21, 1994, is a diversified financial services holding company. The Company and its subsidiaries offer a range of financial products and services to consumers, small businesses and commercial clients through branches, the Internet and other distribution channels. In addition to bank lending, treasury management and depository services, the Company offers credit and debit card products, auto loans and mortgage banking in markets across the United States. The Company operates three primary business segments: Credit Card, Consumer Banking and Commercial Banking. The Company’s principal subsidiaries include the following: Capital One Bank (USA), National Association (COBNA), which offers credit and debit card products, other lending products and deposit products, and Capital One, National Association (CONA), which offers a range of banking products and financial services to consumers, small businesses and commercial clients.
The Company’s Credit Card segment consists of its domestic consumer and small business card lending, and its international card lending businesses in Canada and the United Kingdom. The primary sources of revenue for the Credit Card segment are interest income, fees collected from customers and interchange fees. The Company offers its credit card products throughout the United States, Canada and the United Kingdom. Its credit card loan portfolio is geographically diversified, with higher concentrations in California, New York, Texas, Florida, Illinois, Pennsylvania and Ohio.
The Company’s Consumer Banking segment consists of its branch-based lending and deposit gathering activities for consumers and small businesses, national deposit gathering, national auto lending and consumer home loan lending and servicing activities. The primary sources of revenue for the Company’s Consumer Banking business are net interest income from loans and deposits, and non-interest income from service charges and customer-related fees. The Company’s auto loan portfolio is originated in most regions of the United States with a concentration in Texas, California, Florida, Georgia, Louisiana, Illinois and Ohio. Its home loan portfolio is concentrated in California, New York, Illinois, Maryland, Virginia, New Jersey and Florida. Retail banking includes small business loans and other consumer lending products originated through its branch network with a concentration in Louisiana, New York, Texas, New Jersey, Maryland, Virginia and California.
The Company’s Commercial Banking segment consists of the Company’s lending, deposit gathering and treasury management services to commercial real estate, and commercial and industrial customers. The primary sources of revenue for the Company’s Commercial Banking business are net interest income from loans and deposits, and non-interest income from customer fees and related transactions. The Commercial Banking segment primarily operates in geographic regions where the Company maintains retail bank branches, such as New York, Louisiana and Texas, which represent the Company’s retail banking markets.
