DIRECTV, incorporated in 2009, is a provider of digital television entertainment in the United States and Latin America. The Company operates two direct-to-home (DTH), operating segments: DIRECTV U.S. and DIRECTV Latin America, which are engaged in acquiring, promoting, selling and/or distributing digital entertainment programming primarily via satellite to residential and commercial subscribers. It also owns and operates three regional sports networks (RSNs) and owns a 6o% interest in Game Show Network, LLC (GSN), a cable television network for game-related programming and Internet interactive game playing. DIRECTV Holdings LLC and its subsidiaries (referred to as DIRECTV U.S.) is the provider of DTH digital television services and a provider in the multi-channel video programming distribution (MVPD), industry in the United States. As of December 31, 2011, DIRECTV U.S. had approximately 19.9 million subscribers.
DIRECTV Latin America Holdings, Inc. and its subsidiaries, which the Company refers to as DIRECTV Latin America, is the provider of DTH digital television services throughout Latin America. DIRECTV Latin America consists of PanAmericana, which provides services in Argentina, Chile, Colombia, Ecuador, Venezuela, certain other countries in the region, and the Caribbean, including Puerto Rico; its 93%-owned subsidiary, Sky Brasil Servicos Ltda., which it refers to as Sky Brazil, and its 41% equity method investment in Innova, S. de R.L. de C.V., which the Company refers to as Sky Mexico. As of December 31, 2011, PanAmericana had approximately 4.1 million subscribers, Sky Brazil had approximately 3.8 million subscribers and Sky Mexico had approximately four million subscribers. DIRECTV Sports Networks LLC and its subsidiaries (DSN) consists of primarily of three regional sports television networks based in Seattle, Washington; Denver, Colorado and Pittsburgh, Pennsylvania, each of which operates under the name ROOT SPORTS.
DIRECTV U.S.
The Company, through DIRECTV U.S., provides approximately 19.9 million subscribers with access to hundreds of channels of digital-quality video entertainment and compact disc (CD)-quality audio programming that it transmits directly to subscribers' homes or businesses via geosynchronous satellites. The Company also provides video-on-demand (VOD), by pushing movies onto customers' digital video recorders (DVRs), for instant viewing, as well as via broadband to its subscribers who have connected their set-top receiver to their broadband service. It provides a collection of programming available in the MVPD industry, including over 170 national high-definition (HD), television channels and four three dimensional (3D) channels. In addition, the Company offers VOD service, named DIRECTV CINEMATM, which provides a selection of approximately 7,000 movie and television programs to its broadband-connected subscribers. As of December 31, 2011, it provided local channel coverage in HD to markets covering over 96% of United States television households. In addition, the Company provided local channel coverage to markets representing approximately 99% of United States television households. It also provides professional and collegiate sports programming, such as the NFL SUNDAY TICKET package, which allows subscribers to view the NFL games available each Sunday during the regular season.
DIRECTV LATIN AMERICA
DIRECTV Latin America is the provider of DTH digital television services throughout Latin America and the Caribbean, which includes Puerto Rico. DIRECTV Latin America provides a selection of local and international digital-quality video entertainment and CD-quality audio programming under the DIRECTV and SKY brands to approximately 4.1 million subscribers in PanAmericana and approximately 3.8 million subscribers in Brazil. Its affiliate, Sky Mexico, has approximately four million subscribers. Including Sky Mexico, DIRECTV and SKY provide service to 11.9 million subscribers throughout the region. The Company owns 100% of PanAmericana, which operates principally in South America and the Caribbean, including Puerto Rico, 93% of Sky Brazil, which operates in Brazil, and 41% of Sky Mexico, which operates in Mexico, certain countries in Central America and the Dominican Republic. Globo Comunicacoes e Participacoes S.A. (Globo), owns the other 7% of Sky Brazil and Grupo Televisa, S.A. (Televisa), owns the other 59% of Sky Mexico. As of December 31, 2011, the Company provided service to 22% of pay television households in PanAmericana, 30% of pay television households in Brazil and 32% of pay television households in Mexico.
The Company competes with DISH Network Corporation, Verizon, Comcast, Time Warner Cable, Cox, Brighthouse Networks, AT&T, Hulu, Cablevision, Telefonica, Telmex, Oi, EchoStar Corp. and MVS Comunicaciones.
