EMCOR Group, Inc. (EMCOR), incorporated on March 31, 1987, is an electrical and mechanical construction and facilities services firm in the United States, the United Kingdom and globally. The Company provides services to a range of commercial, industrial, utility and institutional customers through approximately 70 operating subsidiaries and joint venture entities. It specializes in providing construction services relating to electrical and mechanical systems in facilities of all types and in providing comprehensive services for the operation, maintenance and management of facilities services. In January 2014, the Company acquired EMCOR Energy Services, Inc. (EES), a subsidiary of EMCOR Group, Inc. In January 2014, TRC Companies Inc acquired EMCOR Energy Services, Inc. (EES), a subsidiary of EMCOR Group, Inc.
The Company designs, integrates, installs, start-up, operates and maintains electrical and mechanical systems, including electric power transmission and distribution systems; premises electrical and lighting systems; low-voltage systems, such as fire alarm, security and process control systems; voice and data communications systems; roadway and transit lighting and fiber optic lines; heating, ventilation, air conditioning, refrigeration and clean-room process ventilation systems; fire protection systems; plumbing, process and high-purity piping systems; controls and filtration systems; water and wastewater treatment systems; central plant heating and cooling systems; crane and rigging services; millwright services; and steel fabrication, erection, and welding services. Its facilities services operations, which support the operation of a customer’s facilities include Industrial maintenance and services, including those for refineries and petrochemical plants; outage services to utilities and industrial plants; commercial and government site-based operations and maintenance; military base operations support services; mobile mechanical maintenance and services; floor care and janitorial services; landscaping, lot sweeping and snow removal; facilities management; installation and support for building systems; program development, management and maintenance for energy systems; technical consulting and diagnostic services; small modification and retrofit projects; and retrofit projects to comply with clean air laws. Facilities services are provided to a range of commercial, industrial, utility, institutional and governmental facilities.
The Company provides construction services and facilities services to corporations, municipalities and federal and state governmental entities, owners/developers, and tenants of buildings. It also provides these services indirectly by acting as a subcontractor to general contractors, systems suppliers, property managers and other subcontractors. During the year ended December 31, 2012, approximately 92% of revenues were generated in the United States and approximately 8% were generated in the United Kingdom. During 2012, approximately 39% of revenues were derived from new construction projects, 17% were derived from renovation and retrofit of customer’s existing facilities, and 44% were derived from facilities services operations.
During 2012, the Company’s United States electrical and mechanical construction services operations accounted for about 53% of its revenues, of which revenues of approximately 71% were related to new construction and approximately 29% were related to renovation and retrofit projects. During 2012, its the United Kingdom electrical and mechanical construction services operations accounted for approximately 3% of its revenues, of which revenues of approximately 53% were related to new construction and approximately 47% were related to renovation and retrofit projects. It provides electrical and mechanical construction services for installation and renovation projects. Its projects include for institutional use (such as water and wastewater treatment facilities, hospitals, correctional facilities and research laboratories); for industrial use (such as pharmaceutical plants, steel, pulp and paper mills, chemical, food, automotive and semiconductor manufacturing facilities and oil refineries); for transportation projects (such as highways, airports and transit systems); for commercial use (such as office buildings, data centers, hotels, casinos, convention centers, sports stadiums, shopping malls and resorts), and for power generation and energy management projects.
The Company performs services pursuant to contracts with owners, such as corporations, municipalities and other governmental entities, general contractors, systems suppliers, construction managers, developers, other subcontractors and tenants of commercial properties. It also installs and maintains lighting for streets, highways, bridges and tunnels, traffic signals, computerized traffic control systems, and signal and communication systems for mass transit systems in several metropolitan areas. In addition, in the United States, it manufactures and installs sheet metal air handling systems for both its own mechanical construction operations and for unrelated mechanical contractors. It also maintains welding and pipe fabrication shops in support of some of its mechanical operations. Its United States facilities services operations provide facilities services to a range of commercial, industrial, utility, institutional and governmental facilities. During 2012, these facilities services, which generated approximately 44% of its revenues, were provided to owners, operators, tenants and managers of all types of facilities both on a contract basis for a specified period of time and on an individual task order basis. During 2012, of its facilities services revenues, approximately 88% were generated in the United States and approximately 12% were generated in the United Kingdom.
The Company’s United States facilities services segment offers a range of facilities services, including operation, maintenance and service of electrical and mechanical systems; industrial maintenance and services, including outage services to utilities and industrial plants; commercial and government site-based operations and maintenance; military base operations support services; mobile mechanical maintenance and services; floor care and janitorial services; landscaping, lot sweeping and snow removal; facilities management; installation and support for building systems; program development, management and maintenance with respect to energy systems; technical consulting and diagnostic services; infrastructure and building projects for federal, state and local governmental agencies and bodies; small modification and retrofit projects; and retrofit projects. In the Washington D.C. metropolitan area, it provides facilities services at a range of pre-eminent buildings, including those that house the Secret Service, the Federal Deposit Insurance Corporation, the World Bank, the National Affairs Training Center, and the Department of Health and Human Services.
The Company provides facilities services to a range of military bases, including base operations support services to the Navy Capital Region, and are also involved in joint ventures providing facilities services to the Naval Base Kitsap in the State of Washington. As part of its facilities services operations, it also provides aftermarket maintenance and repair services for engineered shell and tube heat exchangers for refineries and the petrochemical industry both at facilities and in the field. The Company’s United Kingdom subsidiary also has a division, which focuses on facilities services. This division provides a range of facilities services under multi-year agreements to public and private sector customers, including airlines, airports, real estate property managers, manufacturers and governmental agencies.
