Evercore Partners Inc. (Evercore), incorporated on July 21, 2005, is an investment banking company. The Company is a holding company, which owns a controlling equity interest in Evercore LP. It provides advisory services to multinational corporations on significant mergers, acquisitions, divestitures, restructurings and other corporate transactions. Evercore also includes an investment management business, through which it manages private equity funds and institutional assets for institutional investors, and provides wealth management services for individuals. The Company operates in two business segments: advisory and investment management. In July 2008, the Company acquired a 50% stake in Evercore Pan-Asset Capital Management (Pan), a wealth management firm providing asset allocation advisory services and products to high net-worth individuals, charities and endowments.
Advisory
The Company’s advisory business provides confidential advice to both public and private companies, with a particular focus on multinational corporations. When Evercore advises companies about the potential acquisition of another company or certain assets, its services include evaluating potential acquisition targets, providing valuation analyses, evaluating and proposing financial and strategic alternatives and rendering, if appropriate, fairness opinions. The Company also advises as to the timing, structure, financing and pricing of a proposed acquisition, and assist in negotiating and closing the acquisition. When Evercore advises clients that are contemplating the sale of certain businesses, assets or their entire company, its services include evaluating and recommending financial and strategic alternatives with respect to a sale, advising on the appropriate sales process for the situation and valuation issues, assisting in preparing an offering memorandum or other appropriate sales materials and rendering, if appropriate, fairness opinions. The Company also identifies and contacts selected qualified acquirers and assist in negotiating and closing the sale.
The Company provides financial advice and investment banking services to companies in financial transition, as well as to creditors, shareholders and potential acquirors. The Company’s services include reviewing and analyzing the business, financial condition and prospects of the company or providing advice on strategic transactions, capital raising or restructurings. It also may provide advisory services to companies that have sought or are planning to seek protection under Chapter 11 of the United States Bankruptcy Code or other similar processes in non-United States jurisdictions. The Company serves as an independent and objective advisor in financing situations. It assists clients with respect to the entire spectrum of capital structure decisions, from underwriter selection and management to negotiation of financing terms and transaction execution.
Investment Management
The Company’s Investment Management business encompasses three sectors: Private Equity, which comprises five private equity funds; Institutional Asset Management, in the United States through Evercore Asset Management L.L.C. (EAM), which provides United States equity investing products and in Mexico through Protego Casa de Bolsa (PCB), which manages fixed income products, and Wealth Management, through Evercore Wealth Management (EWM) in the United States and Pan in the United Kingdom. Its Investment Management business principally manages and invests capital on behalf of third parties, including a range of institutional investors, such as corporate and public pension funds, endowments, foundations, insurance companies, family offices and high net-worth individuals. The Company’s Private Equity business sponsors value-oriented, middle-market private equity funds in both the United States and Mexico.
