Gaiam, Inc. (Gaiam), incorporated on July 7, 1988, is engaged in the design, creation, and marketing of products and media for consumers who are interested in yoga, fitness, and wellbeing. It markets its content, media and products through a multi-channel approach including digital media channels, direct to consumers via catalogs, the Internet, direct response television, broadband, and subscriptions, as well as traditional retail stores. The Company markets its products and services across two segments: business and direct-to-consumer. The company's media brand is built around its ability to develop and offer media content, products, lifestyle solutions to consumers in the lifestyles of health and sustainability (LOHAS) market and the Conscious Media markets. As On December 31, 2013, as a result of a reduction in the Company’s voting ownership of Real Goods Solar, Inc. (Real Goods Solar), it deconsolidated its solar segment. Gaiam Inc acquired Fresh Eye Productions Inc.
The business segment includes both wholesale trade relationships as well digital content sales through third parties. As of December 31, 2013, the fitness accessories and media titles could be found in 38,000 stores worldwide. The company sells media and other products across a variety of retailers, including mass merchants, such as Walmart; e-tailers, such as Amazon.com and Drugstore.com; wholesale clubs such as Costco and Sam’s Club; media stores such as Best Buy; home furnishing stores such as Bed, Bath and Beyond; natural food stores, such as Whole Foods Market; sporting goods stores such as Sports Authority and Dick’s Sporting Goods; and bookstores such as Barnes & Noble. Many of these retailers display the company products in branded store-within-store lifestyle presentations that may include custom fixtures that the company designs. It implemented the first store-within-store concept late in 2000 and the concept had grown to approximately 14,500 stores by the end of 2013. Its branded products and yoga, fitness, and wellbeing media titles are distributed by the Company’s licensee in Canada, by the company subsidiary Gaiam PTY in Australia, and through a third-party logistics provider, in the United Kingdom. The Company also distributes digital media content over the internet and on mobile devices, such as iPads and other tablets. Its media partners include Google, YouTube, Amazon, Vudu, and iTunes. All of the licensing arrangements require branding to be prominent on the programming and are subject to royalty agreements with the Company’s performing artists.
The Company uses e-commerce to sell the products and to provide information on LOHAS. The company promotes the website through visual media, catalogs, print publications, product packaging and internet links. The company provides customer support for e-commerce sales from in-house call center, which is a key benefit for the Company’s e-commerce customers. Having an e-commerce presence and loyal customers is a competitive advantage as media continues to move more to digital download, streaming and subscription services. The Company offers a range of LOHAS products directly to the consumer through catalogs and through some consumer lifestyle publications. Gaiam TV is a global digital video streaming service with approximately over 6,000 conscious media titles and subscribers in over 100 countries. Over 90 percent of its titles are available for streaming, exclusively for Gaiam TV through almost any internet connected device.
The Company competes with Icon Health and Fitness, GoFit, Sklz, Manduka, JadeYoga, Anchor Bay Entertainment and Lions Gate Entertainment.
