Gaiam, Inc. (Gaiam), incorporated July 7, 1988, is a lifestyle media company providing a range of information, media, products and services to customers who value personal development, wellness, ecological lifestyles, and responsible media. It markets its content, media and products through a multi-channel approach including digital media channels, direct to consumers via catalogs, the Internet, direct response television, broadband, and subscriptions, as well as traditional retail stores. The Company markets its products and services across two segments: business and direct-to-consumer. The Company's media brand is built around its ability to develop and offer media content, products, lifestyle solutions to consumers in the lifestyles of health and sustainability (LOHAS) market and the Conscious Media markets. On December 31, 2011, as a result of a reduction in the Company’s voting ownership of Real Goods Solar, Inc. (Real Goods Solar), it deconsolidated its solar segment. In October 2013, the Company sold its non-Gaiam branded entertainment media distribution business (GVE) to Cinedigm Corp. Effective October 31, 2013, Gaiam Inc acquired Fresh Eye Productions Inc.
The LOHAS market consists of five main sectors. It includes Healthy Living, including natural and organic foods, dietary supplements and personal care products and related information and services; Integrative Healthcare, including health and wellness solutions and alternative health practices that compliment traditional approaches; Personal Development, including solutions, information, products and experiences relating to mind, body and spiritual development; Ecological Lifestyles, including environmentally friendly cleaning and household products, organic cotton clothing and bedding, and eco-tourism, and Sustainable Economy, including renewable energy, energy conservation, recycled goods, environmental management services, sustainable manufacturing processes and related information and services. During the year ended December 31, 2011, it added 668 titles, increasing its owned and licensed media library to over 3,400 titles.
The Company’s business segment customers are primarily national retailers, corporate accounts and the media. It conducts its direct to consumer business through its direct response marketing programs, catalogs, Internet and subscription community sales channels. The Company develops, produces and licenses information and programming targeted to consumers. Some of its media partners include Google, YouTube, Amazon, iTunes and Netflix. The Company uses direct response television (DRTV) marketing to promote LOHAS products and services, particularly those aimed at the fitness/wellness market. DRTV marketing is a distribution channel for segments of its LOHAS product suite, and also provides marketing support for its retail partners, as well as creating direct customers.
The Company sells its media and other products across a variety of retailers, including mass merchants such as Target and Walmart; e-tailers, such as Amazon.com and Drugstore.com; wholesale clubs such as Costco and Sam’s Club; media stores such as Best Buy; beauty stores such as Ulta; home furnishing stores such as Bed, Bath and Beyond, and Kohl’s; natural food stores such as Whole Foods Market; sporting goods stores such as Dick’s and REI; and bookstores such as Barnes & Noble. Its branded products are found in Canada, Mexico, Japan, Italy, the United Kingdom and Australia. The Company sells its media products to international accounts primarily under licensing agreements.
Gaiam offers a range of LOHAS products directly to the consumer through its catalogs and through some consumer lifestyle publications. The Company uses the Internet to sell its products and to provide information on the LOHAS lifestyle. It promotes its Website through its Gaiam TV, visual media, catalogs, print publications, product packaging and Internet links. It provides customer support for Internet sales from its in-house call center as a component of ecommerce approach. It offers a range of subscription paid services. These services include online subscription clubs. It offers subscription services under clubs, Spiritual Cinema Circle, Gaiam TV, The Firm, Kettlenetics, and Gaiam Yoga Club.
