Live Nation Entertainment, Inc. (Live Nation), incorporated on August 2, 2005, is a live entertainment company connecting more than 250 million fans across all of our platforms to over 180,000 events in approximately 47 countries. It is a producer of live music concerts connecting nearly 49 million fans to 22,000 events for over 2,300 artists, during the year ended December 31, 2012. Globally, Live Nation owns, operates, has booking rights for and/or has an equity interest in 139 venues, including House of Blues music venues and locations, such as The Fillmore in San Francisco, the Hollywood Palladium, the Ziggo Dome in Amsterdam and the O2 Dublin. The Company’s segments include Concerts, Ticketing, Artist Nation and Sponsorship & Advertising. Ticketmaster provides ticket sales, ticket resale services, and marketing and distribution globally through www.ticketmaster.com and www.livenation.com, numerous retail outlets and worldwide call centers. In May 2013, Live Nation Entertainment Inc completed the sale of the historic Foxwoods Theatre to Lyric Theatre, LLC, a subsidiary of Ambassador Theatre Group (ATG). In June 2013, Nation Entertainment Inc acquired an undisclosed majority interest in BDG Music Group.

Ticketmaster serves clients worldwide across multiple event categories, providing ticketing services for arenas, stadiums, professional sports franchises and leagues, college sports teams, performing arts venues, museums and theaters. Front Line and its affiliates manage musical artists and acts primarily in the rock, classic rock, pop and country music genres. As of December 31, 2012, Front Line and its affiliates had approximately 230 artists on its rosters and over 70 managers providing services to these artists. During 2012, it had over 119 million customers in its database based on visitors to www.livenation.com and www.ticketmaster.com and its other online properties.

The Company operates in five main industries within the live entertainment business, including live music events, venue operations, ticketing services, sponsorship and advertising sales and artist management and services. In April 2012, its Concerts segment acquired a 51% interest in Michael Coppel Ventures Pty Ltd, which is a concert promotion business in Australia and New Zealand. In May 2012, its Concerts segment acquired a 90% interest in Cream Holdings Limited, which is an electronic dance music festival promoter based in the United Kingdom. In June 2012, the Company’s Concerts segment acquired HARD Events LLC, which is an electronic dance music festival promoter based in Los Angeles, California.

Concerts

The Company’s Concerts segment principally includes the global promotion of live music events in its owned and/or operated venues and in rented third-party venues, the operation and management of music venues and the production of music festivals across the world. During 2012, its Concerts business generated approximately 66.5%, of its total revenue. The Company promoted 22,000 live music events in 2012, including artists such as Madonna, Lady Gaga, Coldplay, Roger Waters, Bruce Springsteen & the E Street Band, Van Halen and the Dave Matthews Band and through festivals, such as Rock Werchter, Download, Creamfields and Reading. As a promoter, the Company earns revenue primarily from the sale of tickets and pay artists under one of several formulas, including a fixed guaranteed amount and/or a percentage of ticket sales or event profits. For each event, it either uses a venue it owns and/or operates, or rents a third-party venue. Revenue is related to the number of events, volume of ticket sales and ticket prices.

As a venue operator, the Company generates revenue primarily from the sale of concessions, parking, premium seating, rental income, venue sponsorships and ticket rebates or service charges earned on tickets sold through its internal ticketing operations or by third parties under ticketing agreements. In its amphitheaters, the sale of concessions is outsourced and it receives a share of the net revenue from the concessionaire. As a festival operator, the Company books artists, secures festival sites, provides for third-party production services, sells tickets and advertises events to attract fans. It also arranges for third-parties to provide operational services as needed, such as concessions, merchandising and security. It earns revenue from the sale of tickets and pays artists a fixed guaranteed amount. The Company also earns revenue from the sale of concessions, camping fees, festival sponsorships and ticket rebates or service charges earned on tickets sold. For each event, it either uses a festival site it owns or rents a third-party festival site. Revenue is related to the number of events, volume of ticket sales and ticket prices.

Ticketing

The Company’s Ticketing segment is primarily an agency business that sells tickets for events on behalf of its clients and retains a convenience charge and order processing fee for our services. It sells tickets for its events and also for third-party clients across multiple live event categories, providing ticketing services for arenas, stadiums, amphitheaters, music clubs, concert promoters, professional sports franchises and leagues, college sports teams, performing arts venues, museums and theaters. The Company sells tickets through a combination of Websites, telephone services, mobile devices and ticket outlets. Its Ticketing segment also manages its online activities, including enhancements to its Websites and bundled product offerings. During 2012, the Company’s Ticketing business generated approximately 23.6%, of its total revenue. Through all of its ticketing services, the Company sold over 148 million tickets, during 2012, and sold an additional 108 million tickets through its venue clients’ box offices. The Company offers ticket resale services through TicketsNow (in the United States and Canada), its TicketExchange service (in the United States, Europe and Canada) and GET ME IN! (in the United Kingdom).

Artist Nation

The Company’s Artist Nation segment primarily provides management services to music artists in exchange for a commission on the earnings of these artists. Its Artist Nation segment also sells merchandise associated with musical artists at live performances, to retailers and directly to consumers via the Internet and also provides other services to artists. During 2012, the Company’s Artist Nation business generated approximately 6.9% of its total revenue.

Sponsorship & Advertising

The Company’s Sponsorship & Advertising segment employs a sales force that creates and maintains relationships with sponsors, through a combination of strategic, international, national and local opportunities for businesses to reach customers through its concert, venue, artist relationship and ticketing assets, including advertising on its Websites. During 2012, the Company’s Sponsorship & Advertising business generated approximately 4.3% of its total revenue.
