Manpower Inc. operates within the employment services industry. The Company’s global network of nearly 4,400 offices in 82 countries. Manpower Inc.’s five brands, which include Manpower, Manpower Professional, Elan, Jefferson Wells and Right Management provides a range of services for the employment and business cycle including: permanent, temporary and contract recruitment, employee assessment and selection, training, outplacement, outsourcing, consulting, professional services. During the year ended December 31, 2008, it found permanent and temporary jobs for nearly four million people. The Company had 547 branch and 240 stand-alone franchise offices in the United States as of December 31, 2008, as well as on-site locations at clients with significant permanent, temporary and contract recruitment requirements.

In October 2008, the Company acquired a 26% stake in its Indian subsidiary Manpower Services India, from ABC Consultants. In March 2008, the Company acquired Vitae, a professional placement firm based in the Netherlands. Vitae, which has offices in 10 locations, will initially operate independently under its own brand, affiliated with Manpower Professional within Manpower Netherlands.

The Company finds best people for all types of jobs and industries at both the staff and professional levels under the Manpower, Manpower Professional and Elan brands. It provides an array of assessments to validate candidate skills and ensure a good fit between the client and the employee, which leads to higher employee retention rates. The Company offers training and development solutions that help its employees, associates and clients’ workforces to improve their skills and gain qualifications that will help them to succeed in the ever-changing world of work. Under Manpower Business Solutions (MBS), the Company provides clients with outsourcing services related to human resources functions primarily in the areas of large-scale recruiting and workforce initiatives. Its solutions include: task outsourcing, vendor management, onsite human resource services and recruitment process outsourcing (RPO).

The Company is global provider of integrated consulting solutions across the employment lifecycle. The Company’s Jefferson Wells brand is an alternative to public accounting firms and other consulting groups, delivering professional services in the areas of internal controls, tax, technology risk management, and finance and accounting. In the United States, its operations under the Manpower and Manpower Professional brands are carried out through both branch and franchise offices. It provides a number of central support services to its branches and franchises. It provides client invoicing and payroll processing of its contingent workers for all branch offices and some of its franchise offices through its Milwaukee headquarters.

The Company franchise agreements provide the franchisee with the right to use the Manpower or Manpower Professional service mark and associated marks in a specifically defined territory. It also conducts business in the United States under its Jefferson Wells and Right Management brands. It is a employment service provider in France. The Company conducts its operations in France and the surrounding region through 958 branch offices under the name of Manpower and 93 branch offices under the name Supplay.

The Company is a provider of permanent, temporary and contract recruitment, assessment and selection, training and outsourcing services throughout Europe, the Middle East and Africa. Its largest operations are in Germany, the Netherlands, Norway, Spain, Sweden, and the United Kingdom. It operates through 1,233 branch offices and 52 franchise offices in this region. It also owns Brook Street Bureau PLC (Brook Street), which operates through a total of 115 branch offices, separate from the Manpower and Manpower Professional brands in the United Kingdom. Brook Street operates as a local network of branches supported by a national head office and competes primarily with local or regional independents. In addition to information technology (IT) and technical recruitment, Elan provides managed service solutions to clients, which enable them to recruit personnel efficiently and achieve ongoing cost savings.

In Italy, the Company is an employment services provider and conducts its operations under the Manpower and Manpower Professional brands through a network of 460 branch offices. The Company’s Manpower operations in Italy provides a line of employment services including permanent, temporary and contract recruitment, assessment and selection, training and outsourcing. Jefferson Wells provides project professionals along four primary solution areas, which include internal controls, tax, technology risk management, and finance and accounting.

Right Management is a global provider of integrated consulting solutions across the employment lifecycle, operating from 283 branch offices in 51 countries across the Americas, Europe and Asia Pacific, and 12 franchise offices in the United States. Transition services offer assistance to individuals or groups of employees displaced from employment. Services range from advising employers on severance packages to assisting displaced employees with resume writing, networking and interviewing skills. Services to displaced employees are provided in individual or group programs. Managerial-level employees generally receive longer-term, individual services, while less-senior employees receive shorter-term, group-based services. Organizational Consulting services help companies succeed in managing their evolving human capital needs.
