Nomura Holdings, Inc. (Nomura), incorporated on December 25, 1925, is a financial services company in Japan and has worldwide operations. As of March 31, 2010, it operated offices in over 30 countries and regions including Japan, the United States, the United Kingdom, Singapore and Hong Kong Special Administrative Region (Hong Kong SAR) through its subsidiaries. Nomura’s business consists of three divisions: Retail, Wholesale and Asset Management. Retail includes investment consultation services to retail clients. Wholesale includes serving corporations and institutional investors with a range of products and services, such as global markets, which includes fixed income and equity trading and asset finance businesses and investment banking, which includes M&A advisory, corporate finance, solutions and merchant banking businesses. Asset Management includes development and management of investment trusts, and investment advisory services. On May 24, 2011, the Company purchased a 54.92% interest in MEGALOS CO., LTD., and a 50.86% interest in Nomura Real Estate Holdings, Inc.
In Retail, the Company conducts business activities mainly for individuals and corporations in Japan through a network of nationwide branches. The number of branches was 172 as of the end of March 2010. It offers investment consultation services to meet the medium to long term needs of its customers. It employs various methods to deliver its services to clients. These include face-to-face meetings with its staff, either in its branch offices through client visits, communications through Nomura Home Trade, an internet-based trading service, or through its call centers.
Nomura’s Wholesale division consists of global markets, investment banking and certain other non-retail operations. It formed this division in April 2010, to promote coordination between the underlying businesses and to provide its clients with value-added services tailored to their needs.
Global Markets consists of three businesses: fixed income, equities and asset finance. Fixed Income handles mainly debt securities, foreign currencies and commodities, as well as related derivatives. Equities focuses on equities and equity-linked derivatives. Asset Finance helps clients raise capital through real estate and asset securitization, financing and other solutions.
The Company offers a range of investment banking services to a diverse range of corporations, financial institutions, sovereigns, investment funds and others. It underwrites offerings of a range of securities and other financial instruments, which include various types of stocks, convertible and exchangeable securities, investment grade debt, sovereign and emerging market debt, high yield debt, structured securities and other securities in Asia, Europe and other major financial markets. It also arranges private placements and engages in other capital raising activities. It provides financial advisory services on business transactions including mergers and acquisitions, divestitures, spin-offs, capital structuring, corporate defense activities, leveraged buyouts and risk solutions. Its involvement in initial public offerings (IPOs), reorganizations and other corporate restructurings related to industry consolidation enhance its opportunities to offer clients other advisory and investment banking services.
The Company conducts its asset management business, which consists of the development and management of investment trusts and investment advisory services, primarily through Nomura Asset Management Co., Ltd. (NAMCO). Investment trusts are distributed to investors through Nomura Securities Co., Ltd. as well as through financial institutions, such as securities companies (including those outside its group), banks and Japan Post Bank. Investment trusts are also offered in defined contribution pension plans. It also provides investment advisory services to public pensions, private pensions, governments and their agencies, central banks and institutional investors.
