NRG Energy, Inc. (NRG), incorporated on May 29, 1992, is a wholesale power generation company. NRG is engaged in the ownership, development, construction and operation of power generation facilities, the transacting in and trading of fuel and transportation services, and the trading of energy, capacity and related products in the United States and select international markets. As of December 31, 2008, NRG had a total portfolio of 189 active operating generation units at 48 power generation plants, with an aggregate generation capacity of approximately 24,005 megawatt, and approximately 550 megawatt under construction, which includes partners’ interests of 275 megawatt. In addition, NRG has ownership interests in two wind farms representing an aggregate generation capacity of 270 megawatt, which includes partner interests of 75 megawatt. On April 28, 2008, NRG completed the sale of its 100% interest in Tosli Acquisition B.V. In May 2009, Reliant Energy, Inc. completed the sale of its Texas retail business to NRG. In conjunction with the transaction's close, Reliant Energy, Inc. changed its name to RRI Energy, Inc. In June 2009, the Company completed the sale of its 50% interest in mining company Mibrag B.V. to a consortium of Severoceske doly Chomutov, the brown coal mining company in the Czech Republic and member of the CEZ Group, and J&T Group, a Czech Republic-based investment company. In November 2009, the Company acquired Bluewater Wind (Bluewater), an offshore wind development businesses, from Babcock & Brown and Arcadia Windpower.

Within the United States, NRG has a power generation portfolios in terms of geography, fuel-type and dispatch levels, with approximately 22,925 megawatt of generation capacity in 177 active generating units at 43 plants and ownership interests in two wind farms representing 195 megawatt of wind generation capacity. These power generation facilities are primarily located in Texas (approximately 11,010 megawatt, including the 195 megawatt from the two wind farms), the Northeast (approximately 7,020 megawatt), South Central (approximately 2,845 megawatt), and West (approximately 2,130 megawatt) regions of the United States, with approximately 115 megawatt of additional generation capacity from the Company’s thermal assets. NRG’s principal domestic power plants consist of a mix of natural gas, coal, oil-fired, nuclear and wind facilities, representing approximately 45%, 33%, 16%, 5% and 1% of the Company’s total domestic generation capacity, respectively.

As of December 31, 2008, the Company’s power generation assets consisted of approximately 10,495 megawatt of gas-fired; 7, 540 megawatt of coal-fired; 3,715 megawatt of oil-fired and 1,175 megawatt of nuclear generating capacity in the United States. In addition, NRG also owns approximately 115 megawatt of thermal capacity domestically, as well as 1,080 megawatt of power generation capacity overseas.

As of December 31, 2008, NRG’s generation assets in the Texas region consisted of approximately 5,340 megawatt of baseload generation assets, approximately 195 megawatt of intermittent wind generation assets, excluding partner interests of 75 megawatt, in addition to approximately 5,475 megawatt of intermediate and natural gas-fired assets. As of December 31, 2008, NRG generation assets in the Northeast region of the United States consisted of approximately 7,020 megawatt generation capacity from the Company’s power plants within the control areas of the New York Independent System Operator (NYISO), the Independent System Operator — New England (ISO-NE) and the PJM Interconnection LLC (PJM).

As of December 31, 2008, NRG generation assets in the South Central region of the United States consisted of approximately 2,845 megawatt of generation capacity. The Company’s generation assets in Louisiana consist of its primary asset, Big Cajun II, a coal-fired plant located near Baton Rouge, Louisiana, which has approximately 1,490 megawatt of baseload capacity and 905 megawatt of intermediate and peaking assets. As of December 31, 2008, NRG generation assets in the West region of the United States consisted of approximately 2,130 megawatt of generation capacity, primarily located in the California Independent System Operator (CAISO) control area.

As of December 31, 2008, it had net ownership in approximately 1,080 megawatt of power generating capacity in Australia and Germany. In addition to traditional power generation facilities, NRG also owns equity interests in certain coal mines in Germany. NRG owns thermal and chilled water businesses that generate approximately 1,020 megawatt thermal equivalents. In addition, NRG’s thermal segment owns certain power plants with approximately 115 megawatt of power generating capacity located in Delaware and Pennsylvania.
