OfficeMax Incorporated (OfficeMax), incorporated on April 23, 1931, is engaged in both business-to-business and retail office products distribution. The Company provides office supplies and paper, print and document services, technology products and solutions and office furniture to large, medium and small businesses, government offices and consumers. OfficeMax customers are served by approximately 29,000 associates through direct sales, catalogs, the Internet and a network of retail stores located throughout the United States, Canada, Australia, New Zealand and Mexico, the United States Virgin Islands and Puerto Rico.

The Company operates in three segments: OfficeMax, Contract (Contract segment or Contract); OfficeMax, Retail (Retail segment or Retail), and Corporate and Other. The Contract segment supplies a line of items for the office, including office supplies and paper, technology products and solutions, office furniture, print and document services and facilities products .The Retail segment markets and sells office supplies and paper, print and document services, technology products and solutions, and office furniture and facilities products.

Contract

The Company distributes a range of items for the office, including office supplies and paper, technology products and solutions, office furniture and print and document services through its Contract segment. Contract sells directly to corporate and government offices, as well as to small and medium-sized offices in the United States, Canada, Australia, New Zealand and Puerto Rico. This segment markets and sells through field salespeople, outbound telesales, catalogs, the Internet, and in foreign markets, through office products stores. The products sold by this segment are purchased from outside manufacturers or from industry wholesalers. It also sources its private label products direct from manufacturers. As of December 29, 2012, Contract operated 40 distribution centers in the United States., Puerto Rico, Canada, Australia and New Zealand as well as four customer service and outbound telesales centers in the United States. As of December 29, 2012, Contract also operated 44 office products stores in Canada, Hawaii, Australia and New Zealand.

Retail

Retail is a retail distributor of office supplies and paper, print and document services, technology products and solutions, office furniture and facilities products. In addition, this segment contracts with retail chains to supply office and school supplies to be sold in their stores. Its retail office products stores feature OfficeMax ImPress, an in-store module devoted to print-for-pay and related services. Its Retail segment has operations in the United States, Puerto Rico and the United States Virgin Islands. Its Retail segment also operates office products stores in Mexico through a 51%-owned joint venture, Grupo OfficeMax S. de R.L. de C.V. (Grupo OfficeMax). The majority of the products sold by this segment are purchased from outside manufacturers or from industry wholesalers. It also sources its private label products direct from manufacturers.

As of December 29, 2012, the Company’s Retail segment operated 941 stores in the United States, Puerto Rico, the United States Virgin Islands, and Mexico, three distribution centers in the United States, and one small distribution center in Mexico. Each store offers approximately 11,000 stock keeping units (SKUs) of name-brand and OfficeMax private-branded merchandise and a range of business services targeted at serving the small business customer, including OfficeMax ImPress. As of December 29, 2012, in addition to its in-store ImPress capabilities, its Retail segment operated six OfficeMax ImPress print on demand facilities. These 8,000 square foot operations are located within its Contract distribution centers, and serve the print and document needs of its contract customers in addition to supporting its retail stores by providing services, which cannot be deployed at every retail store.

The Company competes with Staples, Office Depot, Wal-Mart, Target, Costco, Best Buy and Amazon.com.
