O’Reilly Automotive, Inc. (O’Reilly), incorporated on December 20, 2010, is a specialty retailer of automotive aftermarket parts, tools, supplies, equipment and accessories in the United States, selling its products to both do-it-yourself (DIY) customers and professional service providers. As of December 31, 2012, O’Reilly operated 3,976 stores in 42 states. The Company’s stores product line includes products, such as new and remanufactured automotive hard parts, such as alternators, starters, fuel pumps, water pumps, brake system components, batteries, belts, hoses, temperature control, chassis parts and engine parts; maintenance items, such as oil, antifreeze, fluids, filters, wiper blades, lighting, engine additives and appearance products, and accessories, such as floor mats, seat covers and truck accessories. Its stores offer a number of services and programs to its customers, such as used oil and battery recycling; battery diagnostic testing; electrical and module testing; loaner tool program; drum and rotor resurfacing; custom hydraulic hoses; professional paint shop mixing and related materials, and machine shops.
The Company’s stores, on average, carry approximately 23,500 stock keeping units (SKUs) and average approximately 7,200 total square feet in size. As of December 31, 2012, the Company had a total of approximately 29 million square feet in its 3,976 stores. During the year ended December 31, 2012, the Company derived approximately 59% of the Company’s sales from its DIY customers and approximately 41% of its sales from its professional service provider customers. Its stores offer DIY and professional service provider customers a selection of brand name and private label products for domestic and imported automobiles, vans and trucks. Its merchandise consists of products, such as AC Delco, Armor All, Bosch, BWD, Cardone, Castrol, Gates Rubber, Monroe, Moog, Pennzoil, Prestone, Quaker State, STP, Turtle Wax, Valvoline, Wagner, and Wix. In addition to name brand products, its stores carry a range of private label products under its BestTest, BrakeBest, Import Direct, Master Pro, Micro-Gard, Murray, Omnispark, O’Reilly Auto Parts, Precision, Power Torque, Super Start, and Ultima brands.
