Overstock.com, Inc. (Overstock), incorporated on February 27, 2002, is an online retailer offering discount brand name, non-brand name and closeout merchandise, including bed-and-bath goods, home decor, kitchenware, furniture, watches and jewelry, apparel, electronics and computers, sporting goods, and designer accessories, among other products. The Company also sells books, magazines, compact discs (CDs), digital versatile discs (DVDs) and video games (BMMG). Overstock sells these products through its Internet Websites located at www.overstock.com, www.o.co and www.o.biz. It operates in two segments: direct business and fulfillment partner business. As of December 31, 2013, it offered approximately 491,000 non-BMMG products and approximately 805,000 BMMG products. Overstock sells its products through its Website to customers outside the United States. Overstock also offers a consignment service to suppliers where the suppliers' merchandise is stored in and shipped from its leased warehouses.
Overstock’s direct business includes sales made to individual consumers and businesses, which are fulfilled from its leased warehouses in Salt Lake City, Utah. During the year ended December 31, 2013, the Company fulfilled approximately 12% of the order volume through its warehouses. Its warehouses generally ship between 3,000 and 5,000 orders per day and up to approximately 6,000 orders per day during peak periods, using overlapping daily shifts.
Fulfillment partner business
For Overstock’s fulfillment partner business, it sells merchandise of other retailers, cataloguers or manufacturers through its Website. The Company has relationships with approximately 2,400 third parties who supply approximately 488,000 non-BMMG products, as well as most of the BMMG products, on its Website. Revenue generated from sales on its Shopping site from both the direct and fulfillment partner businesses is recorded net of returns, coupons and other discounts.
