The Pepsi Bottling Group, Inc. (PBG), incorporated in January, 1999, is a wholly owned subsidiary of PepsiCo, Inc. PBG operates carbonated soft drinks and other ready-to-drink beverages. It conducts business in all or a portion of the United States, Mexico, Canada, Spain, Russia, Greece and Turkey. PBG is the manufacturer, seller and distributor of Pepsi-Cola beverages. In addition, in some of its territories the Company has the right to manufacture, sell and distribute soft drink products of companies other than PepsiCo, including Dr Pepper, Crush and Squirt. It also has the right in some of its territories to manufacture, sell and distribute beverages under trademarks that PBG owns, including Electropura, e-puramr and Garci Crespo. In May 2008, PepsiCo, Inc. and PBG, through their PR Beverages Limited joint venture in Russia, completed acquisition of Sobol-Aqua JSC. Sobol is a beverage manufacturing company based in Novosibirsk, Russia. In March 2008, the Company completed the acquisition of Pepsi-Cola Batavia Bottling Corp. In June 2009, the Company completed its acquisition of Better Beverages, Ltd. Better Beverages is a Pepsi-Cola and Dr Pepper franchised bottler that serves portions of central Texas. In July 2009, the Company completed the acquisition of Pepsi-Cola Bottlers for the Merrimack Valley, Inc.

The Company’s principal beverage brands in United States and Canada include Pepsi, Diet Pepsi, Diet Pepsi Max, Wild Cherry Pepsi, Pepsi Lime, Pepsi ONE, Mountain Dew, Diet Mountain Dew, AMP, Mountain Dew Code Red, Aquafina, Lipton, Sierra Mist, Tropicana juice drinks, MUG Root Beer, SoBe, Dole and Starbucks Frappuccino. PBG’s brands in its European market include Pepsi, Pepsi Light, Pepsi Max, Tropicana, 7UP, KAS, Aqua Minerale, Mirinda, IVI and Fiesta. Its brands in Mexico include Manzanita Sol, Squirt, Garci Crespo, Aguas Frescas, Electropura, Jarritos and e-pura.

The Company sells its products through cold-drink and take-home channels. Its cold-drink channel consists of chilled products sold in the retail and foodservice channels. The take-home channel consists of unchilled products that are sold in the retail, mass merchandiser and club store channels for at-home consumption. It manufactures and distributes fountain products, and provides fountain equipment service to PepsiCo customers in some territories. PBG also purchases snack food products from Frito-Lay, Inc. (Frito), a subsidiary of PepsiCo, for sale and distribution in Russia.

The Company competes with The Coca-Cola Company.
