Prestige Brands Holdings, Inc. (Prestige) is a holding company. The Company, along with its subsidiaries, is engaged in the marketing, sales and distribution of over-the-counter (OTC) Healthcare and Household Cleaning brands to mass merchandisers, drug stores, supermarkets, club and dollar stores primarily in the United States and Canada. The Company conducts its operations through two principal business segments: Over-the-Counter Healthcare and Household Cleaning. During the fiscal year ended March 31, 2012 (fiscal 2012), the Company acquired 17 brands in the OTC Healthcare category. On January 31, 2012, it completed the acquisition of the 15 GSK Brands I. In April 2012, the Company purchased the two remaining brands, Debrox ear wax remover and Gly-Oxide oral rinse, of the seventeen brands from GlaxoSmithKline. In July 2013, Prestige Brands Holdings Inc announced its acquisition of Care Pharmaceuticals Pty Ltd.
Over-the-Counter Healthcare Segment
The Company’s portfolio of OTC products includes 14 core OTC brands: Chloraseptic sore throat remedies, Clear Eyes eye drops, Compound W wart removers, Little Remedies pediatric healthcare products, The Doctor’s brand of oral care products, Efferdent and Effergrip denture products, Luden's cough drops, PediaCare pediatric healthcare products, Dramamine motion sickness products, BC and Goody's Analgesic powders, Beano gas prevention, Gaviscon antacids and Debrox ear drops. Its other brands in the category include Dermoplast first-aid products, Murine eye and ear care products, NasalCrom allergy relief product, New-Skin liquid bandage, and Wartner wart removers.
Chloraseptic is used to relieve sore throats and mouth pain. Chloraseptic’s 6 oz. cherry liquid sore throat spray is sold in the sore throat liquids/sprays segment. Clear Eyes brands are in the OTC personal eye care category. The 0.5 oz. size of Clear Eyes redness relief eye drops is a selling product in the eye allergy redness relief category. Compound W products are specially designed to provide relief from common and plantar warts and are sold in multiple forms of treatment depending on the consumer’s need, including Fast-Acting Liquid, Fast-Acting Gel, One Step Pads for Kids, One Step Pads for Adults and Freeze Off is a cryogenic-based wart removal system. Dramamine’s product line includes a Less Drowsy formula and Chewable form. Efferdent Denture Cleanser is a brand in Denture Cleanser Tablets category.
Little Remedies is a full line of pediatric OTC products that contain no alcohol, saccharin, artificial flavors or coloring dyes, including Little Noses, a product line consisting of an assortment of nasal saline products; Little Colds, a product line consisting of a multi-symptom cold relief formula, sore throat relief products, a cough relief formula, a decongestant and a combined decongestant plus cough relief formula; Little Tummys, a product line consisting of gas relief drops, laxative drops and gripe water, an herbal supplement used to ease discomfort often associated with colic and hiccups, and Little Teethers, a product line offering teething relief. Luden's Wild Cherry is a selling item in the cough drop category. PediaCare is a line of pediatric multi-symptom cough, cold and allergy products. The Doctor’s market is driven primarily by two segments, bruxism (nighttime teeth grinding) and interdental cleaning.
BC and Goody's is available in Original and Arthritis formulas. Goody's includes Extra Strength, Back & Body, PM and Cool Orange. Debrox is a brand of OTC ear wax removal aids. The product line consists of two sale items: an ear wax removal kit containing liquid drops and an ear washer bulb, and a second item containing just the liquid drops as a refill. Gaviscon is widely distributed throughout Canadian food, drug, mass merchandise and wholesale clubs.
The Company competes with Johnson & Johnson, McNeil-PPC, Novartis Consumer Healthcare, The Procter & Gamble Company, Reckitt Benckiser, Kraft Foods, GlaxoSmithKline, Insight Pharmaceuticals, Inc., Sunstar America, Inc., DenTek Oral Care, Inc., Pfizer and GSK.
Household Cleaning Segment
The Company’s portfolio of Household Cleaning brands includes the Chore Boy, Comet and Spic and Span brands. During fiscal 2012, the Household Cleaning segment accounted for 21.8% of its revenues. Chore Boy products include scrubbing pads and sponges. Chore Boy products are sold in food and drug stores, mass merchandisers, and in hardware and convenience stores. Comet products include several varieties of cleaning powders, spray and cream, both abrasive and non-abrasive. Spic and Span is marketed as a home cleaner with three product lines consisting of dilutables, an anti-bacterial hard surface spray for counter tops and glass cleaners. Each of these products can be used for multi-room and multi-surface cleaning.
The Company competes with Henkel AG & Co., Colgate-Palmolive Company, The Clorox Company, The Procter & Gamble Company and 3M Company.
