Pacific Ethanol, Inc. (Pacific Ethanol), incorporated on February 28, 2005, is a marketer and producer of low-carbon renewable fuels in the Western United States. Pacific Ethanol markets all the ethanol produced by four ethanol production facilities located in California, Idaho and Oregon, or the Pacific Ethanol Plants, all the ethanol produced by three other ethanol producers in the Western United States and ethanol purchased from other third-party suppliers throughout the United States. It also markets ethanol co-products, including wet distiller’s grains and syrup (WDG), for the Pacific Ethanol Plants. Its 83% ownership interest in New PE Holdco LLC, the owner of each of the plant holding companies (the Plant Owners), that collectively own the Pacific Ethanol Plants. Its ethanol customers are integrated oil companies and gasoline marketers who blend ethanol into gasoline. In July 2012, it acquired an additional 33% ownership interest in New PE Holdco LLC. On January 11, 2013, the Company purchased 13% of New PE Holdco LLC. Effective September 02, 2014, Pacific Ethanol Inc raised its interest to 96% from 91%, by acquiring a 5% stake, in PE Op Co.
The Company operates and maintains the Pacific Ethanol Plants under the terms of an asset management agreement with New PE Holdco and the Plant Owners. It also market ethanol and WDG produced by the Pacific Ethanol Plants under the terms of separate marketing agreements with the Plant Owners whose facilities are operational. In addition, it provides operations, maintenance and accounting services for a 250,000 gallon per year cellulosic integrated biorefinery owned by ZeaChem Inc. in Boardman, Oregon, which is adjacent to the Pacific Ethanol Columbia plant. As of December 31, 2012, its facility included Magic Valley with 60,000,000 gallons; Columbia with 40,000,000 gallons; Stockton with 60,000,000 gallons and Madera with 40,000,000 gallons of capacity. The Company sells ethanol produced by the Pacific Ethanol Plants and other third-parties to various customers in the Western United States. It also markets ethanol co-products, including WDG, for the Pacific Ethanol Plants.
The Company competes with Archer Daniels Midland Company and Valero Energy Corporation.
