Perma-Fix Environmental Services, Inc., incorporated in December 1990, is an international environmental and technology know-how company. The Company operates in two segments: The Treatment Segment (Treatment) and the Services Segment (Services). The Company service research institutions, commercial companies, public utilities, and governmental agencies nationwide, including the United States Department of Energy (DOE) and the United States Department of Defense (DOD). The Treatment Segment consists of treatment, processing, and disposal services of nuclear, low-level radioactive, mixed, hazardous and non-hazardous waste. The Services Segment consists of on-site waste management, technical, and consulting services. On August 12, 2011, the Company completed the sale of Perma-Fix of Fort Lauderdale, Inc. (PFFL). On October 14, 2011, the Company completed the sale of Perma-Fix of Orlando, Inc., (PFO). On October 31, 2011, the Company completed the acquisition of Safety & Ecology Holdings Corporation (SEHC) and its subsidiaries, Safety & Ecology Corporation (SEC).

On October 31, 2011, the Company acquired Safety & Ecology Corporation Limited (SECL). The Company provides Treatment, storage, processing and disposal of mixed waste, non-nuclear hazardous waste, nuclear low level, and higher activity radioactive wastes; research and development activities to identify, develop and implement waste processing techniques for problematic waste streams; on-site waste management services to commercial and government customers; technical services, which includes health physic and radiological control technician services, safety and industrial hygiene services, staff augmentation services providing consulting, engineering, project management, waste management, environmental, and decontamination and decommissioning field personal, technical personnel, and management and services to commercial and government customers and consulting engineering services, including air, water, and hazardous waste permitting, air, soil, and water sampling, compliance reporting, emission reduction strategies, compliance auditing, and various compliance and training activities, and instrumentation and measurement technologies.

Treatment segment

Treatment segment includes nuclear, low-level radioactive, mixed (waste containing both hazardous and low-level radioactive constituents), hazardous and non-hazardous waste treatment, processing and disposal services primarily through four licensed (Nuclear Regulatory Commission or state equivalent) and permitted (Environmental Protection Agency (EPA) or state equivalent) treatment and storage facilities: Perma-Fix of Florida, Inc. (PFF), Diversified Scientific Services, Inc., (DSSI), Perma-Fix Northwest Richland, Inc. (PFNWR), and East Tennessee Materials & Energy Corporation (M&EC). The presence of nuclear and low-level radioactive constituents within the waste streams processed by this segment creates different operational, processing and permitting/licensing requirements, and research and development activities to identify, develop and implement waste processing techniques for problematic waste streams. During the year ended December 31, 2011, the Treatment Segment accounted for 55.5% of total revenue.

Services Segment

The Services Segment comprises of on-site waste management, technical, and consulting services. The Company’s Services Segment includes a foreign operation, SECL. As of December 31, 2011, the Services Segment acquired 44.5% of total revenues. The Company’s Nuclear Services Segment operates subsidiaries located in Ellisville, Missouri; Knoxville, Tennessee, and Blaydon On Tyne, England, of which it leases all of the properties.

On-site waste management services to commercial and government customers include health physic and radiological control technician services providing both field support, as well as professional technical support to commercial and government customers; safety and industrial hygiene services providing field support and professional technical support to commercial and government customers, and consulting engineering services providing consulting environmental services to industrial and government customers. It includes air, water, and hazardous waste permitting, air, soil and water sampling, compliance reporting, emission reduction strategies, compliance auditing, and various compliance and training activities, and engineering and compliance support to other segments.
