RLJ Entertainment, Inc. (New RLJ), incorporated on April 2, 2012, is a direct wholly owned subsidiary of RLJ Acquisition, Inc. (RLJ). RLJ and Image have entered into the Image merger agreement providing for the combination of RLJ and Image Entertainment, Inc. (Image) under a new holding company, New RLJ. On April 2, 2012, RLJ Acquisition, Inc. (RLJ), and Image entered into an Agreement and Plan of Merger, which it refer to as the merger agreement. Concurrently with the execution of the merger agreement, RLJ, Acorn Media Group, Inc. (Acorn), and the holders of Acorn, entered into a stock purchase agreement, which it refers as the Acorn purchase agreement. At the closing of the transactions contemplated by the merger agreement and the Acorn purchase agreement, each of Image and Acorn will be wholly owned subsidiaries of RLJ Entertainment, Inc. The Company is a premier independent licensee and distributor of entertainment content and programming in North America, the United Kingdom and Australia with over 5,200 exclusive titles. It owns and distributes brands, such as Acorn (British TV), Image (stand-up comedy, feature films), One Village (urban), Acacia (fitness), Slingshot (faith), Athena (educational), Criterion (art films) and Madacy (gift sets). These titles are distributed in multiple formats, including digital versatile disk (DVD), Blu-Ray, digital download, digital streaming, broadcast television (including satellite and cable), theatrical and non-theatrical. In May 2013, the Company announced that it has acquired all United States rights to the romantic drama Last Love, based on Francoise Dorner's French novel La Douceur Assassine.

Through the Company’s subsidiary Agatha Christie Limited, it controls the property and publishing rights to the works of mystery fiction, including stories of the iconic sleuths Miss Marple and Poirot. And through its direct-to-consumer business, it has direct contacts and billings relationships with millions of consumers. It acquires, distributes, and monetizes existing and original content for its many distribution channels, including its branded digital subscription channels, and engages a distinct audience with programming, which appeals directly to their unique viewing interests. It has e-commerce Web sites for the Acorn and Acacia brands, and owns the Acorn TV digital subscription service.
