Roadrunner Transportation Systems, Inc. (RRTS) is a transportation and logistics service provider offering a full suite of solutions, including customized and expedited less-than-truckload, truckload and logistics, transportation management solutions, intermodal solutions (transporting a shipment by more than one mode, primarily via rail and truck), and domestic and international air. RRTS utilizes a third-party network of transportation providers, consists of independent contractors (ICs) and purchased power providers, to serve a diverse customer. It primarily focuses on small to mid-size shippers. The Company has three operating segments: less-than-truckload, truckload and logistics, and transportation management solutions. On February 3, 2011, the Company acquired Morgan Southern, Inc. (Morgan Southern). In August 2011, it acquired James Brooks Company, Inc., Prime Logistics Corporation and C.A.L. Transport, Inc. In April 2012, RRTS acquired all of the outstanding capital stock of D&E Transport. In June 2012, the Company acquired CTW Transport. In August 2012, the Company acquired R&M Transportation and Sortino Transportation, providers of truckload services. In November 2012, the Company acquired A&A Express. In December 2012, the Company acquired Direct Connection Transportation. In May 2013, Roadrunner Transportation Systems Inc acquired Adrian Carriers. In April 2013, Roadrunner Transportation Systems Inc acquired the entire share capital of Wando Trucking. In July 2013, the Company announced that it has acquired the interests of Marisol International LLC (Marisol). In August 2013, the Company announced that it has acquired certain of the assets of the Southeast drayage division of Transport Corporation of America, Inc. In September 2013, the Company announced that it has acquired all of the outstanding equity of G.W. Palmer Logistics, LLC. In September 2013, the Company announced that it has acquired substantially all of the assets of YES Trans, Inc. InFebruary 2014, Roadrunner Transportation Systems Inc acquired Rich Logistics and Everett Transportation Inc. and certain assets of Keith Everett. Less-than-Truckload

The Company’s less-than-truckload (LTL) business involves the pickup, consolidation, linehaul, deconsolidation, and delivery of LTL shipments throughout the United States and into Mexico, Puerto Rico, and Canada. RRTS has a network of 20 LTL service centers and over 200 third-party delivery agents. Its LTL segment also includes domestic and international air transportation services.

Truckload and Logistics

Within the Company’s truckload (TL) brokerage business, it arranges the pickup and delivery of TL freight through its network of 24 TL service centers, four consolidation/warehousing facilities, 11 company dispatch offices, and 76 independent brokerage agents primarily located throughout the Eastern United States and Canada. The Company offers temperature-controlled, dry van, intermodal drayage, and flatbed services and specializes in the transport of refrigerated foods, poultry and beverages.

Transportation Management Solutions

Within the Company’s transportation management solutions (TMS) business, it offers a one-stop transportation and logistics solution, including access to the cost-effective and time-sensitive modes of transportation within its network. Its TMS offering includes pricing, contract management, transportation mode and carrier selection, freight tracking, freight bill payment and audit, cost reporting and analysis, and dispatch. Its customized TMS offering is designed to allow the customers to reduce operating costs, redirect resources to core competencies, improve supply chain efficiency, and enhance customer service.
