Ruby Tuesday, Inc., including its wholly-owned subsidiaries, owns and operates Ruby Tuesday, Lime Fresh Mexican, GrillMarlin & Ray’s, and Wok Hay casual dining restaurants. The Company also operates Truffles restaurants pursuant to a license agreement and franchises the Ruby Tuesday, Lime Fresh, and Wok Hay concepts in selected domestic and international markets. During the fiscal year ended June 5, 2012 (fiscal 2012), the Company had 29 Ruby Tuesday concept franchisees, consist of 11 traditional domestic and 18 traditional international franchisees. On April 11, 2012, the Company completed the acquisition of Lime Fresh, including the assets of seven additional Lime Fresh concept restaurants, the royalty stream from five Lime Fresh concept franchised restaurants, and the Lime Fresh brand's intellectual property.
The Company owns, operate and franchise the Ruby Tuesday casual dining restaurant chain. As of June 5, 2012, the Company owned and operated 714, and franchised 79, Ruby Tuesday restaurants. During fiscal 2012, the Company's franchisees operated 36 domestic and 43 international Ruby Tuesday restaurants. Ruby Tuesday restaurants present in 45 states, the District of Columbia, 12 foreign countries and Guam. The Company's Company-owned and operated restaurants are concentrated primarily in the Southeast, Northeast, Mid-Atlantic and Midwest of the United States. The Company also own, operate and franchise the Lime Fresh fast casual restaurant chain and Marlin & Ray's and Wok-Hay casual dining restaurant concepts. The Company also operates Truffles restaurants pursuant to a license agreement. During fiscal 2012, there were 13 Company-owned and operated Lime Fresh restaurants, 11 Company-owned and operated Marlin & Ray's restaurants, two Company-owned and operated Truffles restaurants, and one Company-owned and operated Wok-Hay restaurant. During fiscal 2012, the Company owned and operated 13 Lime Fresh restaurants, and its domestic franchisees operated four Lime Fresh restaurants.
Marlin & Ray's is the Company's internally developed seafood concept that leverages its knowledge of seafood given its guests preference for seafood at its Ruby Tuesday restaurant concepts. The Company also operates Truffles restaurants pursuant to a license agreement and own, operate and franchise the Wok-Hay casual dining concept. During fiscal 2012, the Company owned and operated two Truffles restaurants.
During fiscal 2012, the Company had franchise arrangements with 29 franchise groups which operate Ruby Tuesday restaurants in 14 states, Guam, and in 12 foreign countries. During fiscal 2012, there were 79 Ruby Tuesday franchise restaurants which were all operated by the Company's and international franchisees.
