Saga Communications, Inc. is a broadcast company primarily engaged in acquiring, developing and operating radio and television stations. As of February 29, 2012, the Company owned and/or operated five television stations and four low-power television stations serving three markets, five radio information networks and 61 frequency modulation (FM) and radio stations serving 23 markets, including Bellingham, Washington; Columbus, Ohio; Norfolk, Virginia; Milwaukee, Wisconsin; Manchester, New Hampshire; Des Moines, Iowa, and Joplin, Missouri. The Company operates in two segments: Radio and Television. The Radio segment includes 23 markets, which includes all 91 of its radio stations and five radio information networks. The Television segment includes three markets and consists of five television stations and four low power television (LPTV) stations.

Radio segment

The radio stations that the Company owns and/or operates employ a variety of programming formats, including Classic Hits, Adult Contemporary, Classic Rock, News/Talk, Country. Its stations also employ audience promotions to further develop and secure a loyal following. The television stations that the Company owns and/or operates consists of three CBS affiliates, one ABC affiliate, two Fox affiliates, one Univision affiliate, one NBC affiliate, and one Telemundo affiliate. It also develops local programming, including a local news franchise in each of its television markets. Its primary source of revenue is from the sale of advertising for broadcast on its stations. During the year ended December 31, 2011, approximately 85% of its radio segment’s gross revenue was from local advertising. To generate national advertising sales, the Company engages independent advertising sales representative firms that specialize in national sales for each of its broadcast markets.

Television Segment

The television stations that it owns and/or operates are consisted of two CBS affiliates, one ABC affiliate, two Fox affiliates, one Univision affiliate, one NBC affiliate, one MYTV affiliate and one Telemundo affiliate. It also develops local programming, including a local news franchise in each of its television markets. Its television segment’s primary source of revenue is from the sale of advertising for broadcast on its stations. The number of advertisements available for broadcast on its television stations is limited by network affiliation and syndicated programming agreements and, with respect to children’s programs, federal regulation. During 2011, approximately 80% of its television segment’s gross revenue was from local advertising. Its television market in Joplin, Missouri represented approximately 8% of its revenue.
