The Toronto-Dominion Bank, incorporated on February 1, 1955, is a Canada-based bank. The Toronto-Dominion Bank and its subsidiaries are collectively known as TD Bank Group (the Bank or TD). The Bank serves approximately 20.5 million customers in four businesses operating in a number of locations in financial centres worldwide: Canadian Personal and Commercial Banking, including TD Canada Trust, TD Insurance, and TD Auto Finance Canada; Wealth Management, including TD Waterhouse and an investment in TD Ameritrade; U.S. Personal and Commercial Banking, including TD Bank, and TD Auto Finance U.S.; and Wholesale Banking, including TD Securities. On April 1, 2011, the Bank acquired 100% of the outstanding equity of Chrysler Financial. On December 1, 2011, the Company announced that it completed the acquisition of substantially all of MBNA Canada's credit card portfolio, as well as certain other assets and liabilities, from Bank of America Corporation. Effective March 27, 2013, The Toronto-Dominion Bank acquired Epoch Holding Corp.

TD Bank, N.A., operating under the brand name TD Bank, is a bank in the United States and provides customers with a range of financial products and services at more than 1,275 locations located along the east coast from Maine to Florida. TD’s online financial service has more than 7.5 million online customers. TD Bank, N.A. is a wholly-owned subsidiary of the Bank. The Bank has an investment in TD Ameritrade Holding Corporation (TD Ameritrade). TD Ameritrade is a provider of securities brokerage services and technology-based financial services to retail investors and business partners, through the Internet, a national branch network and relationships with independent registered investment advisors. Canadian Personal and Commercial Banking consist of the Bank’s Canadian banking and global insurance businesses. Under the TD Canada Trust brand, the retail operations provide a range of financial products and services to approximately 12 million personal and small business customers.

As a customer services provider, TD Canada Trust offers banking solutions through telephone and internet banking, more than 2,780 automated banking machines, and a network of 1,150 branches located across Canada. TD Commercial Banking serves the needs of medium-sized Canadian businesses, customizing a range of products and services to meet their financing, investment, cash management, international trade, and day-to-day banking needs. Under the TD Insurance brand, the Bank offers a range of insurance products, including home and automobile coverage, life and health insurance in Canada and the United States, as well as business property and casualty business in the United States, in addition to credit protection coverage on TD Canada Trust lending products. The auto finance business in Canada serves the financing needs of retail customers through its auto dealer network.

Wealth Management

Through the Bank’s direct investing, advice-based, and asset management businesses, TD Wealth Management helps individual and institutional clients build, preserve, and transition wealth. TD Waterhouse Direct Investing offers a range of product and service offering to self-directed retail investors and to investment counsellors and corporate clients through its Institutional Services business. In the United Kingdom and Europe, TD Waterhouse International provides multi-currency and multi-exchange online direct investing services for retail investors, and custody and clearing services for corporate clients. TD’s advice-based businesses include TD Waterhouse Financial Planning, TD Waterhouse Private Investment Advice, and Private Client Group.

TD Asset Management (TDAM) is an investment manager consisting of retail and institutional capabilities. In Canada, TD Mutual Funds provides a diversified range of mutual funds and managed portfolios. Wealth Management offers global direct investing, advice-based, and asset management to institutional and retail client base.

U.S. Personal and Commercial Banking

Operating under the brand name, TD Bank, America’s Most Convenient Bank, U.S. Personal and Commercial Banking offers a full range of banking services to more than 7 million customers including individuals, businesses, and governments. Key products include personal banking and commercial banking. Personal banking includes personal deposits, consumer lending, residential real estate secured lending, and small business banking and merchant services. Merchant Services offers point-of-sale settlement solutions for debit and credit card transactions, supporting over 15,000 business locations in its footprint.

U.S. Personal and Commercial Banking consist of the Bank’s retail and commercial banking operations in the U.S. Operating under the brand TD Bank. The retail operations provide a range of financial products and services through multiple delivery channels, including a network of 1,281 stores located along the east coast from Maine to Florida, telephone, mobile and Internet banking and automated banking machines. U.S. Personal and Commercial Banking also serves the needs of businesses, customizing a range of products and services to meet their financing, investment, cash management, international trade, and day-to-day banking needs.

Wholesale Banking

Wholesale Banking serves a diverse base of corporate, government, and institutional clients in key global financial centers. Key products include Investment Banking and Capital Markets, Equity Investments and Corporate Banking. Investment banking and capital markets revenue includes advisory, underwriting, trading, facilitation, and execution services. Corporate banking revenue includes corporate lending, trade finance and cash management services. The equity investment portfolio consists of private equity investments only.

Wholesale Banking provides a range of capital markets and investment banking products and services, including underwriting and distribution of new debt and equity issues, providing advice on strategic acquisitions and divestitures, and meeting the daily trading, funding and investment needs of its clients. Operating under the TD Securities brand, its clients include governments, and institutions in financial markets worldwide. Wholesale Banking provides market access to TD’s wealth and retail operations and provides wholesale banking solutions to its partners and their customers.
