Total System Services, Inc. (TSYS), incorporated on December 22, 1982, is a global payment solutions provider that provides services to financial and nonfinancial institutions. The Company operates in three segments: North America Services, International Services and Merchant Services. Through the Company’s North America Services and International Services segments, TSYS processes information through its cardholder systems to financial institutions throughout the United States and internationally. Its North America Services segment provides these services to clients in the United States, Canada, Mexico and the Caribbean. The Company’s International Services segment provides services to clients in Europe, India, Middle East, Africa, Asia Pacific and Brazil. Its Merchant Services segment provides merchant services to merchant acquirers and merchants in the United States. It provides electronic payment processing and other services to the Company’s equity investments, Total System Services de Mexico, S.A. de C.V. (TSYS de Mexico) and China UnionPay Data Co., Ltd. North America Services
The North America Services segment provides issuer account solutions for financial institutions and other organizations primarily based in North America. It has long-term customer contracts with card issuers providing account processing and output services for printing and embossing items. Its North America Services accounted for 51% of its revenues during the year ended December 31, 2012. Its services are provided throughout the period of each account’s use, starting from a card-issuing client processing an application for a card. Services may include processing the card application, initiating service for the cardholder, processing each card transaction for the issuing retailer or financial institution and accumulating the account’s transactions. Fraud management services monitor the unauthorized use of accounts, which have been reported to be lost, stolen, or which exceed credit limits. Fraud detection systems help identify fraudulent transactions by monitoring each account holder’s purchasing patterns and flagging unusual purchases. Other services provided include customized communications to cardholders, information verification associated with granting credit, debt collection, and customer service.
The Company’s International Services accounted for 22% of its revenues during 2012. The International Services segment provides issuer card solutions to financial institutions and other organizations primarily based outside the North America region.
The Company’s Merchant services revenues are derived from providing processing services, acquiring solutions, related systems and integrated support services to merchant acquirers and merchants. Revenues from merchant services include processing all payment forms including credit, debit, prepaid, electronic benefit transfer and electronic check for merchants of all sizes across a array of market verticals. Merchant services include authorization and capture of transactions; clearing and settlement of transactions; information reporting services related to transactions; merchant billing services, and point-of-sale equipment sales and service. Merchant Services accounted for 27% of its revenues during 2012.
