UBS Group AG, incorporated on June 10, 2014, is a holding company of the UBS Group. The Company's businesses are organized globally into five business segments: Wealth Management, Wealth Management Americas, Retail & Corporate, Global Asset Management and the Investment Bank. The Company provides private, institutional and corporate customers around the world, as well as retail customers in Switzerland with financial advice and solutions. Corporate Center includes Core Functions and Non-core and Legacy Portfolio. Core Functions include Group-wide control functions, such as finance, including treasury services, such as liquidity, funding, balance sheet and capital management; risk control, including compliance, and legal. In addition, Core Functions provide all logistics and support services. Non-core and Legacy Portfolios consists of the non-core businesses and legacy positions.
The Company's Wealth Management segment provides financial services to wealthy private clients across the world except those served by Wealth Management Americas. It offers investment management solutions to wealth planning and corporate finance advice, as well as a range of specific offerings. It provides wealth management solutions, products and services to financial intermediaries.. Customers also have the option to invest in the range of financial instruments, from single securities, such as equities and bonds to various investment funds, structured products and alternative investments. Additionally, it offers customers advice on structured lending and corporate finance. Its ultra-high net worth clients have access to the infrastructure it offers to its institutional clients. In addition, through its Global Family Office Group, the Company offers its high net worth clients the range of its investment management solutions. Its Global Financial Intermediaries business provides it with access to markets and clients beyond its own client advisor network.
Additionally, the Company acts as a strategic business partner for more than 2,200 financial intermediaries in financial centers. It offers them professional investment advisory services, a global banking infrastructure and tailored solutions, helping financial intermediaries to advise their end-clients. It has a presence in around 50 countries. The Company offers its wealth management services in Hong Kong, Singapore, Japan, Taiwan, China, Mexico, Brazil, Turkey, Russia, Israel and Saudi Arabia.
Wealth Management Americas
The Company's Wealth Management Americas segment develops advice-based relationships through its financial advisors. Its business includes the domestic United States and Canadian business, as well as international business booked in the United States. The Company provides an integrated set of products and services to meet the needs of its target client segments, such as high net worth clients and ultra-high net worth clients, while also serving the needs of core affluent clients. Its wealth management offering includes banking, mortgage and financing solutions that enable it to provide advice on both the asset and liability sides of its clients' balance sheets. Wealth Management Americas consists of branch networks in the United States, Puerto Rico, Canada and Uruguay, with 6,997 financial advisors, as of 31 December 2014. In the United States and Puerto Rico, it operates primarily through its subsidiaries.
Securities and operations activities are conducted primarily through two registered broker-dealers, UBS Financial Services Inc. and UBS Financial Services Incorporated of Puerto Rico. The Company's banking services in the United States include those conducted through the UBS AG branches and UBS Bank USA, a federally regulated bank in Utah, which provides Federal Deposit Insurance Corporation (FDIC)-insured deposit accounts, collateralized lending services, mortgages and credit cards. Canadian wealth management and banking operations are conducted through UBS Bank (Canada), and Uruguayan wealth management operations are conducted through UBS Financial Services Montevideo.
The Company also offers lending and cash management services, such as securities-backed lending, resource management accounts, Federal Deposit Insurance Corporation (FDIC)-insured deposits, mortgages and credit cards. Its UBS Equity Plan Advisory Services is a provider of equity compensation plan services and advice to more than 150 United States corporations. For corporate and institutional clients, it offers a suite of solutions, including equity compensation, administration, investment consulting, defined benefit and contribution programs, and cash management services. It also offers mutual fund advisory programs. For clients who favor individual securities, it offers a range of equity and fixed income instruments.
Retail & Corporate
The Company's Retail & Corporate segment provides financial products and services to its retail, corporate and institutional clients in Switzerland. It manages a part of Company's Swiss infrastructure and Swiss banking products platform. Its distribution network comprises around 300 branches, 1,250 automated teller machines, including self-service terminals and four customer service centers, as well as digital banking services. It serves more than 120,000 companies. Its retail clients have access to a life-cycle-based offering, comprising products, including cash accounts, payments, savings and retirement solutions, investment fund products, residential mortgages, a loyalty program and advisory services. It provides financing solutions to its corporate clients, offering access to equity and debt capital markets, syndicated and structured credit, private placements, leasing and traditional financing. Its transaction banking offers solutions for payment and cash management services, trade and export finance, receivable finance, as well as global custody solutions to institutional clients.
Global Asset Management
The Company's Global Asset Management segment includes investments, including equities, fixed income, multi-asset and currency strategies, as well as alternative investments, including hedge funds, real estate, infrastructure and private equity funds. Its fund services unit provides administration services for traditional and alternative Company and third-party funds. It is a fund house in Europe, a mutual fund manager in Switzerland and a fund of hedge funds and real estate investment manager. It offers a range of investment services and styles across traditional and alternative asset classes. It serves third-party institutional and wholesale clients, and clients of the Company's wealth management businesses. It has a presence in London, Chicago, Frankfurt, Hartford, Hong Kong, New York, Paris, Singapore, Sydney, Tokyo and Zurich. It offers its clients investment products and services in equities, fixed income, single and multi-manager hedge funds, global real estate, infrastructure, private equity and multi-asset solutions. It also offers fund administration services for the Company and third-party funds. Equities offer a range of investment strategies with varying risk and return objectives. Fixed income offers a range of active global, regional and local market-based investment strategies. Structured beta and indexing offers indexed, alternative beta and rules-based strategies across asset classes on a global and regional basis.
Global investment solutions (GIS) offer active asset allocation, currency and multi-manager investment strategies, as well as structured solutions and advisory services. O'Connor is a global single-manager hedge fund platform, which provides investors with risk-adjusted returns. A&Q hedge fund solutions (A&Q) offer a range of multi-manager hedge fund solutions and advisory services. Global real estate manages real estate investments globally and regionally within Asia Pacific, Europe and the United States, across real estate sectors. Fund services, a global fund administration business, offers a range of solutions, including fund set-up and fiduciary and regulatory services, as well as reporting and accounting for traditional investment funds, managed accounts, hedge funds, real estate funds, private equity funds and other alternative structures.
The Company's Investment Bank segment provides corporate, institutional and wealth management clients with advice, solutions, execution and access to capital markets. The Investment Bank includes corporate client solutions and investor client services. Corporate client solutions includes advisory and financing solutions businesses, origination, structuring and execution, including equity and debt capital markets in service of corporate, financial institution, sponsor clients and the Company's wealth management businesses. Investor client services includes execution, distribution and trading for institutional investors and provides support to corporate client solutions and its wealth management businesses. It comprises its equities businesses, including cash, derivatives and financing services, cross-asset class research solutions, and its foreign exchange franchise, precious metals, rates and credit businesses. The investor client services unit also provides distribution and risk management solutions required to support its businesses.
Corporate client solutions work with investor client services in the distribution and risk management of capital markets products and financing solutions. The Company's business lines are advisory, which includes mergers and acquisitions advice and execution, as well as refinancing, spin-offs, exchange offers, leveraged buyouts, joint ventures, takeover defense, corporate broking and other advisory services; equity capital markets, which includes managing initial public offerings, follow-ons, including rights issues and block trades, as well as equity-linked transactions and other strategic equities solutions; debt capital markets, which includes helping corporate and financial institution clients in raising debt capital, including investment-grade and market bonds, high-yield bonds, subordinated debt and hybrid capital and provides capital services, which include acquisition, leveraged buy-out loans, bonds and mezzanine financing; financing solutions, which serves corporate and investor clients across the globe by providing customized solutions across asset classes via a range of financing services, including structured financing, real estate finance and situations, and risk management, which includes corporate lending and associated hedging activities.
