Xerox Corporation, incorporated on April 18, 1906, provides services and technology to enable its customers from small businesses to large global enterprises to focus on their core business. The Company is a diversified business process outsourcing company managing transaction-intensive processes. This includes services which support all enterprises through offerings, such as customer care, finance and accounting and human resources, as well as vertically focused offerings in areas, such as healthcare, transportation, retail and telecommunications, among others. It is engaged in designing, developing and delivering information technology (IT) solutions that leverage its secure data centers, help desks and managed storage facilities around the world to provide IT infrastructure. Its document technology products and solutions support the work processes of its customers and provide them printing and communications infrastructure. The Company operates in three segments: Services, Document Technology and Other. In April 2014, the Company acquired Smart Data Consulting to expand e-discovery services and technology consulting capabilities designed for law firms and corporations. In June 2014, Xerox Corp acquired ISG Holdings Inc.

Services Segment

The Company’s Services segment consists of three service offerings: Business Process Outsourcing (BPO), Information Technology Outsourcing (ITO) and Document Outsourcing (DO). The Company provide non-core, mission-critical services that its clients need to run their day-to-day business. BPO service offerings include government healthcare solutions, healthcare payer and pharma, healthcare provider solutions, human resources services, financial services, customer care, retail, travel and insurance, transportation solutions, and government solutions. BPO represented 57% of its total Services segment revenue during the year ended December 31, 2012. Government Healthcare Solutions business serves state and federal-funded government healthcare programs. The Company provides a range of solutions, from processing Medicaid claims to pharmacy benefits management, clinical program management, supporting health information exchanges, eligibility application processing and determination, delivering public and private health benefit exchange services and care and quality management. It delivers administrative efficiencies to its healthcare payer clients through its transactional business solutions, which encompass both its global delivery model and domestic payer service centers. Services include data capture, claims processing, customer care, recovery services and healthcare communications.

The Company provides consulting solutions, revenue cycle management and application services that are customized to meet the varying and changing needs of healthcare providers. It serves every large health system in the United States, with contracts in all 50 states. The Company also helps clients improve care through an analytics solution designed to provide clinical staff information. It offers a range of human resources consulting - from employee service centers to learning, retirement, health and welfare services. It provides finance and accounting services for any industry - from accounting to billing to procurement to accounts payable and receivable to tax management. In addition, the Company provides outsourcing of financial aid and enrollment office operations for colleges and universities and back-room functions, such as customer services, transaction processing and mailroom operations for the financial services industry.

The Company is a domestic customer care provider to the wireless telecom industry. The Company’s customer care offerings include: customer service, sales, technical support, transaction processing, fulfillment and managed mobility services, among others. The Company provides technology-based transactional services for retail, travel and non-healthcare insurance companies. It handles their data entry, mailrooms, imaging input and hosting, call centers and help desk with targeted industry focus. The Company provides solutions in over 30 countries. Its solutions include fare collection, toll and parking solutions, and monitoring of red light cameras. The Company supports Government clients with solutions for child support payment processing, tax and revenue systems, eligibility systems and services, electronic payments transfer, electronic payment cards and unclaimed property services, among others.

The Company is engaged in designing, developing and delivering IT solutions. ITO represented 12% of its total Services segment revenue in 2012. Its ITO services include mainframe and server outsourcing, network outsourcing, desktop outsourcing, and cloud services. The Company supports its clients' needs for adaptable computing environments. It provides systems support services and a 24/7 support organization that maintains a unified set of tools and processes to support its clients' IT environments, including systems administration, database administration, systems monitoring, batch processing, data backup and capacity planning. It provides telecommunications management services for voice and data networks. Its desktop services provide its clients with a comprehensive approach to managing their platforms and devices. It designs and executes desktop management strategies that address and resolve issues, such as enterprise bandwidth constraints, unstable computing environments, areas of insecurity and unavailable network resources. The Company’s cloud services solutions cover a range from infrastructure, mobility, collaboration and platform. In addition, it provides remote infrastructure management, help desk/service desk management, managed storage, utility computing, disaster recovery and security services.

The Company’s primary offerings within Document Outsourcing are managed print services (MPS) and communication and marketing services (CMS). DO represented 31% of its total Services segment revenue in 2012. Xerox MPS manages the operations of Xerox and non-Xerox print devices. CMS delivers outsourcing for design, communications, marketing, logistics and distribution services that help clients communicate with their customers and employees more effectively. The Company delivers communications through traditional routes, such as print, but also through a growing number of multimedia channels including short message service (SMS), Web, email and mobile media.

Document Technology Segment

The Company’s Document Technology Segment includes the sale of products and supplies, as well as the associated technical service and financing of those products (that which is not related to document outsourcing contracts). Its product include entry, mid-range, and high-end. Entry consists of products sold primarily to small and midsize businesses through a worldwide network of independent resellers and online merchants. Its entry products includes monochrome and color printers and multifunction printers (MFPs) ranging from small personal devices to larger workgroup printers designed to serve the needs of demanding office users. Its other products include ColorQube family multifunction printers, which includes the ColorQube 8700 and ColorQube 8900 multifunction printers, WorkCentre 3315 and WorkCentre 3325, Phaser 7100 Color Printer, The WorkCentre 6605 and Phaser 6600 printers. Its entry products represented 22% of its total Document Technology segment revenue in 2012.

Mid-range consist of products sold to enterprises of all sizes, principally through Xerox-branded partners and its direct sales force, indirect multi-branded channel partners and resellers worldwide. The Company offers a range of multifunction printers, copiers, digital printing presses and light production devices. Its products include Xerox WorkCentre 7525, 7530, and 7535, Xerox ColorQube 9301/9302/9303, Xerox WorkCentre 5325/5330/5335 and Xerox D95/110/125 Copier/Printer. Its mid-range products represented 58% of its total Document Technology segment revenue in 2012. Its High-end digital color and monochrome solutions are designed for customers in the graphic communications industry and for large enterprises. Its products include Xerox iGen 150, Xerox Nuvera 157 & 314 and FreeFlow Digital Workflow. Its high-end products consisted of 20% of its Document Technology segment revenue in 2012.

Other Segment

The Company’s Other segment primarily includes revenue from paper sales, wide-format systems, network integration solutions and electronic presentation systems from Global Imaging Systems. Paper consisted of approximately 59% of the revenues in 2012.

The Company competes with Accenture, Aon, Computer Sciences Corporation, Convergys, Dell, Genpact, Hewlett-Packard, Canon, IBM, Teletech, Kodak, Konica Minolta, Lexmark, and Ricoh.
