Atmel Corporation Enters Into Stipulation To Settle Microchip Offer Shareholder Litigation

Atmel Corporation announced that it has entered a Stipulation and Agreement of Compromise, Settlement and Release (the Stipulation) to settle previously disclosed litigation regarding Atmel's response to a subsequently-withdrawn acquisition proposal by Microchip Technology Inc. and ON Semiconductor Corporation, including Atmel's adoption of an amendment to its Amended and Restated Preferred Shares Rights Agreement, dated as of October 18, 1999 (the Rights Agreement). The Stipulation provides, on behalf of a non-opt out class consisting of all record holders and beneficial owners of Atmel common stock at any time during the period from October 2, 2008 through and including November 6, 2009, for the full settlement and release of all claims by or against Atmel and all of the defendants related to the allegations and/or matters set forth in three stockholder class actions consolidated under the caption In re Atmel Corporation Shareholders Litigation filed in the Court of Chancery of the State of Delaware, and a class and derivative action captioned Zucker v. Laub, et. al. filed in the Superior Court of the State of California.

Atmel Corporation announced a new family of secure microcontrollers targeting the highest security level for smart objects and systems. The new AT90SO family is the first in the industry to offer a wide range of interfaces to bring security to various applications including USB e-tokens, femtocells, smart meters, secure data storage, telehealth and gaming platforms. Built around Atmel's secureAVR microcontroller technology, this new AT90SO family provides a higher level of security, performance and lower power consumption than current offerings in the market.

Atmel Corporation announced that for the fourth quarter of 2009, the Company expects revenue to increase 3% to 7% on a sequential basis. The Company reported revenue of $317.7 million in the third quarter of 2009. According to Reuters Estimates, analysts on an average were expecting the Company to report revenue of $317 million for the fourth quarter of 2009.

Atmel Corporation Introduces Antenna ICs

Atmel Corporation announced the availability of a new active antenna integrated circuit (IC) designed for AM/FM car antenna applications. The new ATR4252 IC provides integration, automatic gain control, supply voltage regulator with overvoltage protection and an antenna sensor. Designers can now develop smaller, high performance active antenna solutions for applications located in the mirror, bumper, rear or side windows of a car. In addition, the antenna detection functionality is ideal for modern window or glass antennas. The robust IC also addresses other antenna types including window, pole or shark fin antennas with its small 4 x 5 mm footprint.
