BioClinica, Inc. Acquires Tourtellotte Solutions, Inc.
BioClinica, Inc. announced that it has acquired privately-held Tourtellotte Solutions, Inc. The Company is purchasing substantially all of the assets of Tourtellotte for $2.1 million in cash at closing plus additional payments based upon achieving certain milestones. If certain predetermined milestones are achieved an additional $3.2 million in cash and 350,000 shares of BioClinica common stock can be earned.
BioClinica, Inc. Acquires CardioNow from Agfa Healthcare
BioClinica, Inc. announced that it has acquired the CardioNow unit of Agfa HealthCare. With this addition, BioClinica now offers streamlined electronic transport solutions to facilitate the blinding, sharing, tracking and archiving of medical images for multi-center clinical trials as part of its suite of imaging services. Imaging information will also be integrated with BioClinica Express electronic data capture to further simplify and enhance the clinical trial process for life science companies. The terms of the acquisition were not disclosed.

BioClinica, Inc. lowered its fiscal 2009 service revenues guidance to $57-$60 million from $60-$63 million and lowered fiscal 2009 earnings per share (EPS) guidance to $0.18 to $0.21 per share from $0.23 to $0.25 per share. The Company also announced that as a result of the general slowdown the Company experienced in the last quarter of 2008 and the first half of this year, it expects operating results for the second half of 2009 to be generally comparable to the operating results for the first half of 2009. According to Reuters Estimates, analysts are expecting the Company to report EPS of $0.18 for the same period.
Bio-Imaging Technologies Announces Name Change to BioClinica, Inc.
Bio-Imaging Technologies announced that it has received shareholder approval to change its name to BioClinica, Inc., effective immediately. In conjunction with this name change, the Company`s stock symbol will change to 'BIOC' at the commencement of trading on July 13, 2009, and will continue to trade on the NASDAQ Global Market.
