Koninklijke Philips Electronics NV and Bruker BioSpin, a division of Bruker Corporation announced that they have signed a memorandum of understanding (MOU) for the development of Magnetic Particle Imaging (MPI) scanners, a new imaging technology, for the preclinical market. The partnership would unite Philips' strength in medical imaging and Bruker BioSpin's leadership in analytical magnetic resonance instruments and preclinical Magnetic Resonance Imaging (MRI). Under the terms of the MOU, Bruker BioSpin intends to develop and manufacture the preclinical MPI scanner at its facilities in Ettlingen, Germany. Both parties intend to co-market the resulting solution.
Bruker Corporation's Bruker BioSpin And Aspect Magnet Technologies Establish Collaborative Effort In Developing 1 Tesla Desktop MRI Solutions For New Preclinical MRI Applications
Aspect Magnet Technologies and Bruker BioSpin, a division of Bruker Corporation announced that they have signed a Memorandum of Understanding (MoU) for the development of a high performance desktop preclinical MRI system. The new MRI scanner will benefit from the combination of Aspect's 1 Tesla permanent magnet system and Bruker BioSpin's MRI spectrometer technology and its routine preclinical software package. The new system is expected to enable scientists to explore new fields of preclinical MRI research, such as hyperpolarization, functional applications and contrast agent imaging, all supported by high resolution MRI morphology imaging. Both companies will evaluate the potential new markets and their technological and applications requirements.
Bruker Corporation Announces Pricing of Secondary Offering
Bruker Corporation announced the pricing of an underwritten secondary offering of 13,000,000 shares of its common stock at a price to the public of $9.85 per share. The offering by the two selling stockholders, members of the Laukien family not involved in the Company`s business, is expected to close on or about September 28, 2009. The selling stockholders also have granted the underwriters a 30-day option to purchase up to an additional 1,950,000 shares of common stock to cover over-allotments, if any. Bruker will not receive any of the proceeds from the sale of the shares of common stock by the selling stockholders in this offering. Goldman, Sachs & Co., J.P. Morgan Securities Inc. and Deutsche Bank Securities Inc. are acting as joint book-running managers of the offering.
