The Descartes Systems Group, Inc. announced that it has joined forces with New Trend International Logistics Technology Ltd. (NTI), a Chinese material handling technology provider, to extend and accelerate logistics technology infrastructure throughout China. Descartes will combine its federated platform that unites hardware, software, networks and a community of logistics organizations with NTI's local business network to provide a comprehensive logistics information management system. This information management system includes warehouse management (WMS), transportation management (TMS) and global positioning (GPS) technologies. The joining of these networks creates a platform which enables participants to work together to automate multi-party business processes and share critical information to accelerate productivity improvements and cost savings.

Descartes Systems announced that it has entered into a binding bought deal agreement with a syndicate of underwriters co-led by GMP Securities L.P. and CIBC World Markets Inc., and including Thomas Weisel Partners, Versant Partners Inc. and Paradigm Capital Inc. (collectively the "Underwriters"), to raise gross proceeds of CDN$40,002,300 from a sale of 6,838,000 common shares at a price of CDN$5.85 per share. The offering is scheduled to close on October 20, 2009. The net proceeds of the offering are anticipated to be used by the Company for general corporate purposes and for potential acquisitions. The Company and certain executive officers and directors have agreed to grant the Underwriters an over-allotment option to purchase, in aggregate, up to an additional 1,025,700 common shares, being 15% of the common shares to be sold under the offering, at CDN$5.85 per share, with such additional shares being sold firstly, as to 693,296 common shares by such executive officers and directors and secondly, as to 332,404 common shares, by the Company.
