Ixia Completes Acquisition of Agilent Technologies, Inc.'s N2X Data Network Testing Product Line

Ixia announced that it expects fourth quarter 2009 revenues in the range of $50 million to $54 million, including fourth quarter revenues from Cisco of $5 million to $7 million. The Company currently expects non-GAAP earnings per share (EPS) to range from $0.02 to $0.05 per diluted share for the fourth quarter 2009, with comparable GAAP EPS estimates in a range between a net loss of $0.06 to $0.09 per share. The difference between anticipated GAAP and non-GAAP results relates to expected non-cash and certain nonrecurring charges and associated tax effects, including charges relating to stock-based compensation. The Company estimated, at this time, that stock-based compensation charges will be between $2 million and $3 million for the fourth quarter of 2009 on a pretax basis. According to Reuters Estimates, analysts were expecting the Company to report revenue of $50 million and EPS of $0.04 for the fourth quarter 2009.

Ixia announced that it has signed a definitive agreement with Agilent Technologies, Inc. under which Ixia will acquire Agilent's N2X Data Networks Product Line for $44 million in cash. The acquisition is scheduled to close on October 30, 2009 and will include certain assets of the N2X product line, along with its world-class customers, sales and R&D teams. The Company also announced that its net revenues for the third quarter of 2009 will be approximately $46.4 million, compared to earlier guidance of $42 to $47 million. According to Reuters Estimates, analysts on an average are expecting the Company to report revenue of $45.2 million for the third quarter of 2009.
