Vitec Software Group AB to Reorganize Maklare Business Area and Reduce Personnel by 15 People

Vitec Software Group AB announced that the Company is to reorganize its Maklare (Brokerage) business area in Sweden. The changes include clearer product focus on real estate brokerage firms in Sweden, new delivery models and techniques, and strengthening customer focus. As a result of the changes, the Company plans staff reduction of 15 people in Sweden. The changes are expected to get full effect from January 1, 2014.

Jorudan Co Ltd to Merge with Subsidiary; Expects Extraordinary Loss and Amends Mid-year and Full-year Consolidated Outlook for FY 2013

Jorudan Co Ltd announced that it has decided to merge with a wholly owned subsidiary Gourmet PIA Network Corporation, which has been engaged in Website operation, advertising sales and sales promotion businesses, effective April 1, 2013. As a result, the Company will be the surviving company and the subsidiary will be dissolved. The Company also expects the extraordinary loss of JPY 114 million caused by depreciation of goodwill for newly acquired subsidiary, for the fiscal year ending September 30, 2013. The Company has raised its mid-year consolidated outlook for revenue from JPY 2,350 million to JPY 2,500 million, reaffirmed its mid-year consolidated outlook for operating profit of JPY 300 million, ordinary profit of JPY 300 million, and lowered its mid-year consolidated outlook for net profit from JPY 165 million to JPY 75 million, and earnings per share from JPY 31.61 to JPY 14.37, for the same fiscal year. The Company also has raised its full-year consolidated outlook for revenue from JPY 4,300 million to JPY 4,750 million, net profit from JPY 330 million to JPY 370 million, earnings per share from JPY 63.22 to JPY 70.89, and reaffirmed its full-year consolidated outlook for operating profit of JPY 610 million, ordinary profit of JPY 600 million, for the same fiscal year. The Company amended its outlook mainly due to the extraordinary loss caused by depreciation of goodwill for newly acquired subsidiary as well as the merger with wholly owned subsidiary.

Stonesoft Oyj Segregates Part of Its Service Business to Subsidiary

Stonesoft Oyj announced that it segregates its post sales technical support by selling it to its newly founded, fully owned subsidiary Stonesoft Global Support Ltd. The new company will perform the technical support services offered to Stonesoft's customers as a subcontractor. The contracts between the Company and its customers remain unchanged. The support service business personnel will be transferred to the new company as old employees. The incorporation will not affect current customers' service level or contractual relations. In the long run the transaction enables a more flexible development of post sales technical support. Based on Stonesoft's understanding, it is likely that along with the geographical expansion the need to offer services in other languages than English will grow, which is likely to result in e.g. establishing additional service sites. The internal transaction, the price of which has been set to EUR 18.5 million, will be effective on December 31, 2012. The price is based on external valuation of the fair price of the technical support business. The purchase price will remain as debt of Stonesoft Global Support Ltd to Stonesoft Corporation. The Company has received an advance ruling from the Finnish tax authorities related to the tax handling of the case.
