Telefonica SA - closing acquisition of 56 pct Distribuidora de Televisión Digital, SA

Telefonica SA:Says in connection with acquisition by Telefónica de Contenidos, S.A.U. of 56 pct of capital stock of Distribuidora de Televisión Digital, SA owned by Promotora de Informaciones, S.A., Telefonica informs that, once relevant regulatory authorizations have been obtained, transaction has been completed.Purchase price amounts to 707 mln euros, of which 565.5 mln euros have been paid on April 30 corresponding to 80 pct of the price.Remaining 20 pct will be paid, once the adjustments referred to in the purchase agreement are concluded, which could lead to a rise or fall in the price.

M2 Group Ltd confirms competing proposal for iiNet Ltd

M2 Group Ltd:Confirms it has submitted to iiNet Ltd an indicative, non-binding, incomplete and confidential competing proposal to acquire 100 pct. of issued shares in iiNet via a scheme of arrangement (competing proposal).Says M2's competing proposal is currently with iiNet Board for consideration.Under M2's competing proposal, iiNet shareholders would receive 0.803 M2 shares per iiNet share, plus $0.75 cash per iiNet share by way of special dividend paid to iiNet shareholders just prior to implementation of proposed scheme.Special dividend would be franked to maximum extent possible and is subject to iiNet holding sufficient retained earnings.Says M2 is examining alternative ways for iiNet shareholders to be able to receive the full $0.75 cash to extent special dividend of less than $0.75 is ultimately paid.Under these proposed transaction terms, iiNet shareholders would own about 42 pct. of share capital of enlarged M2 Group, and would therefore benefit from about 42 pct. of value of synergies.
