Faiveley Transport SA announced that it has acquired a 100% stake in Faiveley Transport SA, a Swiss company that produces couplers and shock absorbers for trains. The financial terms of the deal were not disclosed.
Caterpillar Inc And Mining Machinery Limited Announce Settlement Agreement Related To Siwei Acquisition
Caterpillar Inc and Mining Machinery Limited announced that they have resolved all outstanding issues between them arising out of Caterpillar's acquisition of ERA, including wholly owned subsidiary Zhengzhou Siwei Mechanical & Electrical Manufacturing Co., Ltd., commonly known as Siwei. Caterpillar reached this agreement with two former directors of ERA, Emory Williams and John Lee, and two other parties with an interest in the settlement, Mining Machinery Limited and James Thompson III (collectively the MML Parties). As part of the resolution of outstanding issues between the parties, Caterpillar's total outstanding obligations of $164.5 million to the MML Parties, which were part of Caterpillar's obligations relating to acquisition of ERA, were reduced by $135 million to $29.5 million. In addition, Caterpillar and the MML Parties have mutually released all their claims relating to the acquisition of ERA. In addition to entering into the settlement agreement, Caterpillar has agreed that a company affiliated with the MML Parties may purchase from Siwei certain receivables and other assets.

The Purchase Consideration was arrived on a willing buyer willing seller basis, which has taken into account the net tangible asset value of SEPL and was paid in cash by the Company to SOS.
NANYO CORP to Acquire Newly Established Company from Kyoei Tsushin Kogyo Co., Ltd.
NANYO CORP announced that it has decided to fully acquire a Tokyo-based company engaged in the sale of small-size motors, which will be established on April 1, 2013 by Kyoei Tsushin Kogyo Co., Ltd., effective April 1, 2013. At the same time, the Tokyo-based company will take over all the businesses from Kyoei Tsushin Kogyo. The financial terms regarding this are to be determined.
Exel Industries SA Completes Acquisition of Holmer
Exel Industries SA announced that it has concluded an agreement to acquire 100% of the German group Holmer, a sugar beet harvester whose sales totaled EUR104.00 million to the end of October 2012, over a 10-month fiscal year (sales to the end of December 2012 over 12 months are EUR114.00 million). Holmer has 380 employees in six countries (Germany, France, Poland, the Czech Republic, Ukraine and the United States) and is in present in 43 countries through its distribution network. Financial terms of the acquisition were not disclosed.
