(Bingshan Metal Processing).Before absorbing and merging, the company held 70 pct stake of Bingshan Ryosetsu, and held 100 pct stake of Bingshan Metal Processing, while Japan Ryosetsu Industry Co., Ltd. held 30 pct stake of Bingshan Ryosetsu.After absorbing and merging, Bingshan Ryosetsu will be the surviving company and the company will hold 95 pct stake of Bingshan Ryosetsu with Japan Ryosetsu Industry Co., Ltd. holding 5 pct stake of Bingshan Ryosetsu.Benchmark date for absorbing and merging was made on Dec. 31, 2014.

Crompton Greaves Ltd:Approved new scheme of arrangement for vertical demerger of Consumer Products Business unit of CG into its wholly owned subsidiary, Crompton Greaves Consumer Electricals Limited with effect from Oct. 1.Says to implement 100 pct demerger of Consumer Products business, such that shareholding pattern of resulting consumer company shall mirror shareholding pattern of CG.Says Consumer Products Business undertaking shall be de-merged into CG's wholly owned subsidiary, Crompton Greaves Consumer Electricals Limited.Under the scheme, CG will transfer its Consumer Products Business undertaking including related businesses, undertakings, properties, investments, intangibles, contracts and liabilities into Crompton Greaves Consumer Electricals Limited.Says Crompton Greaves Consumer Electricals Limited will issue and allot to shareholders of CG as on the record date one fully paid up equity share of 2 Indian rupees each for every one equity share held in CG.Upon demerger, shareholding of CG in Crompton Greaves Consumer Electricals Limited will get cancelled and shareholding pattern of Crompton Greaves Consumer Electricals Limited will mirror shareholding pattern of CG.Says Crompton Greaves Consumer Electricals Limited will apply for listing its shares on the BSE and NSE.
