Name Description

Marek Michalowski

Mr. Marek Michalowski has been Chairman of the Supervisory Board of Budimex SA since September 30, 2009. He has also been Chairman of the Compensation Committee at the Company. He was Chief Executive Officer and Chairman of the Management Board of Budimex SA from 1998 to September 29, 2009. He started his career in Budimex SA in 1978. He was Member of the Management Board and Finance Director of the Company from 1990 to 1998 and then became Chairman of the Management Board. Since October 2009 he has been General Manager of Ferrovial Agroman SA for Central & Eastern Europe. Moreover, he has been Member of the General Board of BCC, President of the Polish Association of Construction Industry Employers and President of the Polish Golf Union. He graduated from the Finance and Statistics department of Szkola Glowna Handlowa w Warszawie.

Dariusz Blocher

Mr. Dariusz Blocher has been Chairman of the Management Board and General Director of Budimex SA since September 30, 2009. He was Member of the Management Board of the Company from 2002 until September 29, 2009. He was Member of the Management Board, Human Resources Director in Budimex SA from February 2002 until November 2007. He has served as Chairman of the Management Board and General Director of Budimex Dromex SA since 2007. He started his career in Fabryka Kotlow Przemyslowych Ahlstrom - Fakop. From 1993 to 1994 he worked in Proman s.c. in Katowice as Department Manager. From 1994 to 2002 he worked in Pepsi Co. Polska as Manager of Sales Department, Personal Director in Sales and Distribution Department. In 2007 he graduated from IESE Business School in Barcelona, Spain, majoring in Advanced Management Program. He graduated from Politechnika Czestochowska with a Bachelor of Engineering degree in Mechanical Engineering.

Alejandro de la Joya Ruiz de Velasco

Mr. Alejandro de la Joya Ruiz de Velasco serves as Vice Chairman of the Supervisory Board at Budimex SA. He has been Member of the Compensation Committee and the Investment Committee of the Company. He is a civil engineer trained in building roads, canals and bridges. Since 1991, he has been working in Ferrovial. He has been developing his professional career in Spain, Morocco, Italy, Portugal and Poland. From 2002 to 2005, he was the Vice Chairman of the Management Board of Budimex SA. In 2005, he was promoted to become the Managing Director of the International Building Division in Ferrovial Agroman. He has been Chief Executive Officer of Ferrovial Agroman since 2008.

Fernando Larragoiti

Mr. Fernando Luis Pascual Larragoiti has been Vice Chairman of the Management Board of Budimex SA since April 24, 2014. He started his business career in 1983 in the Schlumberger company, where he was responsible for hydrocarbon exploration drills. He joined Ferrovial in 1987, where from 1997 he held the managing positions of various contracts related to civil engineering. Between 1997 and 2001, he was responsible for the development and management of the concession highway project in Chile. Between 2001 and 2008, he managed the national division of Ferrovial in Chile, and from 2008 to 2014, the national division of Ferrovial in Greece. He is a Mining engineer and graduate of the Technical University of Madrid and the University of the Andes in Santiago de Chile, where he completed the Senior Management Program (PADE).

Marcin Weglowski

Mr. Marcin Weglowski has been Member of the Management Board and Director for Financial and Economic Affairs of Budimex SA since January 15, 2001. He started his career in 1991 in the Ministry of Finance. He was Auditor in BDO Binder Sp. z o.o. from 1992 to 1993. From 1993 to 1997 he worked n British - American Tobacco Group Poland as Financial Controller and later as Manager of Financial Projects. From 1997 to 1999 he was Finance Director and Member of the Management Board in Delphi Automotive Systems Poland. From 1999 to 2001 he was Finance Director and Vice Chairman of the Management Board of OPTIMUS. He has acted as Member of the Supervisory Board of Housing Association Meksykanska, Elektromontaz Poznan SA, Budimex Danwood Sp. z o.o. and Mostostal Krakow SA. Mr. Weglowski graduated from Production Economics department of Szkola Glowna Handlowa.

Grzegorz Fafara

Jacek Daniewski

Mr. Jacek Daniewski has been Member of the Management Board and Director of Legal and Organizational Affairs of Budimex SA since March 13, 2007. He is Legal Advisor registered in Warsaw. Between 1978 and 1990, he worked for Polikop-Cekop Sp. z o.o., managing trade and legal problems, and as Legal Advisor between 1983 and 1990. Since 1987 until 1990, he was sent to Iraq as Proxy in matters of trade. Mr. Daniewski worked for Dromex from 1986 until 2001, when he was employed by Budimex S.A. as Legal Advisor. Since 2002 he has been Deputy Director of legal and organizational structure in Budimex SA, Since January 2007 he has served as Director of Legal and Organizational Affairs of Budimex SA. He has served as Proxy in Budimex Dromex SA. He graduated in Law from Uniwersytet Warszawski.

Cezary Maczka

Mr. Cezary Maczka has been Member of the Management Board and Director of Human Resources of Budimex SA since December 16, 2015. He has been Director of Human Resources at the Company from December since December 1, 2015. From 1989 to 2001 he worked as Reporter and later Regional Director in Media Express, Regional Director in FALCK in Gdansk and Personal and Administration Manager in Metro AG (Real). He has been associated with GE Concern since 2001, where he was Personal Director GE Power Controls in Lodz, Poland, GE Consumer & Industrial in Poland, Czech Republic and Slovakia. He was Personal Director and Global Compensation & Benefits Manager in GE Corporate Audit Staff for Europe, East and Africa. From December 2007, he was Managing Director in the Human Resources Department in Bank BPH SA, where in 2008 he became Vice Chairman of the Management Board. He has been Member of GE European Labor Relations Council and also certified trainer in the field of recruitment and coaching. He graduated from Uniwersytet Gdanski from the department of Law. He also holds Master of Business Administration degree Strathclyde Glasgow Business School.

Radoslaw Gorski

Mr. Radoslaw Gorski has been Member of the Management Board and Director of General Construction of Budimex SA since March 14, 2016. He joined the Company in 1997, where since 2004 he has served as Director of the Region, and since 2007 Director of the General Construction Division East. In 2013 he was appointed Director of Construction and manages the General Construction Division. He graduated from Politechnika Poznanska.

Artur Popko

Mr. Artur Popko has been Member of the Management Board and Director of Infrastructure Construction of Budimex SA since March 14, 2016. In the years 2000 - 2002 he worked as a Construction Engineer at Przedsiebiorstwe Drogowo-Mostowe Olecko, then until 2004 as a Construction Manager he realized the construction of the A2 motorway on behalf of NCC Poland. He joined Budimex Dromex in 2004, where he served as Construction Manager and Contract Manager. In 2009 he was promoted to the position of Director of the Region. From 2011 he was Director of the Transportation Engineering. In 2014 he became Director of Infrastructure Construction. He graduated from Politechnika Bialostocka.

Henryk Urbanski

Mr. Henryk Urbanski has been Member of the Management Board and Director of Property Management Division of Budimex SA since May 31, 2005. He was employed at Budimex between 1979 and 1992, performing such functions as deputy director of the office responsible for the Middle Eastern market. Between 1993 and 1996 he was director for expansion at Makro Cash and Carry, responsible for the development of the sales network in Poland. 1996–1998: director for development at Praktiker Polska, within the Metro Group. Between 1998 and 2000 he was President of the Management Board at Ahold Polska Real Estate, as well as Member of the Management Board of Ahold Polska responsible for the development of the company's store network in Poland. In 2001, he became President of the Management Board at Budimex Nieruchomosci. He graduated from Mechanics department of Politechnika Warszawska and also from Foreign Trade department of Higher School of Social Studies. He also completed postgraduate studies in Management at Szkola Glowna Handlowa and Advanced Management Program at IESE Business School.

Igor Chalupec

Mr. Igor Adam Chalupec serves as Independent Secretary of the Supervisory Board of Budimex SA. He is Member of the Compensation Committee at the Company. From 1991 until 1995 he was the founder and then a Director of the Central Brokerage House of Pekao Bank JSC. Since 1994 until 1995, he served as Chairman of the Self-Government of brokerage houses. Since 1995 he has been a Member of the Management Board of Pekao JSC. Since 2000 he has been Vice-Chairman of the Management Board of Pekao JSC. From 2003 until 2004, he was Under-Secretary of State at the Ministry of Finance. Janusz Dedo

Mr. Janusz Dedo has been Independent Member of the Supervisory Board of Budimex SA since January 29, 2014. He is Member of the Audit Committee at the Company. He has been Chairman of the Management Board at HSBC Bank Polska SA since August 2005. Prior to this, he was Vice Chairman of the Management Board of Bank PEKAO SA, where he was responsible for retail banking (1998-2004) and Chairman of the Management Board of PEKAO Ukraina Ltd. until July 2006. He held also managing positions in MasterCard. He also held the position of Member of Association of Polish Banks, while since June 2011, he has been President of the Management of Polish Confederation of Employers of private Banks and Financial Insitutions. He is a graduate of Economic studies at Szkola Glowna Gospodarstwa Wiejskiego. He received a scholarship of the Government of United States at the University of Minnesota. He started his professional career in Instytut Gospodarki Swiatowej. From June 1987, he was employed in National Polish Bank in cooperation with World Bank.

Ignacio Estela

Mr. Ignacio Clopes Estela has been Member of the Supervisory Board of Budimex SA since May 1, 2014. He is an engineer specializing in roads, canals and harbors, graduate of the Polytechnic University of Catalonia in Barcelona. He has been working at Ferrovial as a manager since 1992. He started his international career in 1999 as Director of the 407 ETR Express Toll Route Contract in Canada. In 2002, he became Director of the Ferrovial national division in Italy. In 2003, as Managing Director, he started the development of Ferrovial operations in Great Britain and Ireland. In March 2014, he was appointed Area II (Europe, Asia and Australia) Director for Ferrovial Agroman in London.

Javier Galindo Hernandez

Mr. Javier Galindo Hernandez serves as Member of the Supervisory Board of Budimex SA. He is Member of the Audit Committee and the Investment Committee of the Company. He worked at the Ferrovial Group from 1987, first as a Manager of Designs, then as a Controller at the Group Department of Finance, Planning and Control. From the moment of a merger of companies the Ferrovial JSC and the Agroman JSC, he was a Financial Director of the Ferrovial Agroman JSC, then he became a Director of Finances and Development. Mr. Javier Galindo Hernandez graduated from Madrid Technical University (Universidad Politecnica de Madrid) and he holds Master of Business Administration degree from Instituto de Empresa. Moreover, he graduated from PADE, the Program of managing at a high rank (IESE) and a Program of development for people at managerial positions (at the School of Business and Economics Whittemore by the University of Hampshire USA).

Jose Garrido-Lestache Rodriguez

Mr. Jose Carlos Garrido-Lestache Rodriguez serves as Member of the Supervisory Board of Budimex SA. He was Member of Audit Committee of the Company. From 1983, he has been Member of the Chamber of Lawyers in Madrid. From 1981 he has worked for the Grupo Ferrovial. Currently he performs a function of Director of the Legal Department of the Ferrovial Agroman JSC. He is a graduate of the Faculty of Law at the Complutense University in Madrid (Universidad Complutense de Madrid). He also graduated from legal advising postgraduate studies at the Instituto de Empresa.

Piotr Kaminski

Mr. Piotr Maciej Kaminski serves as Independent Member of the Supervisory Board of Budimex SA. He is Chairman of the Investment Committee at the Company. He also has served as Member of the Supervisory Board at Rubicon Partners Narodowy Fundusz Inwestycyjny SA since May 14, 2010. In addition, he sits on Supervisory Boards of several companies, including Powszechny Zaklad Ubezpieczen SA. He was also Member of the Supervisory Board of Polska Agencja Informacji i Inwestycji Zagranicznych. Prior to that, between 2006 and 2009 he served as Chairman of the Management Board at Bank Pocztowy SA. From 2003 to 2006 he was Member of the Management Board at PKO Bank Polski SA. Marzenna Weresa

Prof. Marzenna Anna Weresa serves as Independent Member of the Supervisory Board of Budimex SA. She is also Chairman of the Company's Audit Committee. Prof. Weresa has been Member of the Supervisory Board of KGHM Polska Miedz SA since February 14, 2008. She has worked at Warsaw School of Economics since 2005 as Professor, in the Institute of the World Economy. From 2002 to 2005, she was Manager of the Institute for the research on German Economy IGS SGH. From 2001 to 2005, she was Vice Chairwoman of Polish Economic Society (Warsaw Branch). She has been Manager of Postgraduate studies in International Trade at Warsaw School of Economics since 1997. She was Manager of the Foreign Trade office at EDMAR Sp. z o.o. from 1989 to 1991 and Vice Chairwoman of its Management Board from 1991 to 1994. In addition she was Member of the Steering Committee of project RIS Mazovia, project Functional and Business Model of Warsaw Park of Technology (2005 to 2008), Member of the Supervisory Board of ZAP Pulawy SA from 2006 to 2007. She has been Member of the Warsaw Scientific Consortium since 2007 and also Expert in the European Commission Joint Research Centre (IRC), Institute for Prospective Technological Studies (IPTS). She graduated from Szkola Glowna Handlowa (Previously Szkola Glowna Statystyki i Planowania) in 1988 (Masters degree in Economics). She received her doctoral degree in Economics from the same university in 1995 and became habilitated doctor in 2003.
