Name Description

David Calhoun

Mr. David L. Calhoun has been appointed as Non-Executive Independent Chairman of the Board of Caterpiller Inc., with effect from March 31, 2017. He is Senior Managing Director and Head of Private Equity Portfolio Operations of The Blackstone Group L.P. (private equity firm). He was previously Executive Chair of Nielsen Holdings N.V. (marketing and media information) (2014-2015). Prior to his position at Blackstone, Mr. Calhoun served as Chairman of the Executive Board and Chief Executive Officer of The Nielsen Company B.V. (2006-2013). Other current directorships: Gates Industrial Corporation plc, The Boeing Companyand Nielsen Holdings PLC. Other directorships within the last five years: Medtronic, Inc. Mr. Calhoun has been a director since 2011 and became the independent Chairman of the Board of Caterpillar Inc. on March 31, 2017.

Donald Umpleby

Andrew Bonfield

Mr. Andrew Robert John Bonfield has been appointed Chief Financial Officer of the Company effective September 1, 2018. He most recently served as Group Chief Financial Officer and board member of National Grid plc, a British multinational electricity and gas utility company. Prior to Mr. Bonfield’s eight years at National Grid, he was Chief Financial Officer at British confectionary company Cadbury plc. From 2002 to 2008, he was executive vice president and Chief Financial Officer of Bristol-Myers Squibb Company, an American pharmaceutical company. Mr. Bonfield’s other experience includes the role of finance director of BG Group plc and Chief Financial Officer of Smithkline Beecham plc. Since 2010, Mr. Bonfield has been a non-executive director and chair of the audit committee of British retailer, Kingfisher plc . Mr Bonfield also chairs the 100 Group, which represents finance directors of the top 100 U.K. companies listed on the London Stock Exchange. Mr. Bonfield is a chartered accountant who holds a bachelor’s degree from the University of Natal in Durban, South Africa.

Bob De Lange

Mr. Bob De Lange is re designated as Group President of Customer and Dealer Support of the Company effective June 1, 2018. His 25-year career with Caterpillar, Bob has delivered excellent results in leadership positions acrossEurope,the United StatesandAsia," said Caterpillar CEOJim Umpleby. " Throughout his career, Bob has built strong relationships with our dealers while holding a range of product and marketing positions. His diverse experience working with our dealer network makes him ideally suited to lead the Customer & Dealer Support group for Caterpillar.

Denise Johnson

Ms. Denise Johnson is Group President of the Company. Ms. Johnson joined Caterpillar in 2011 and initially served as the general manager of Specialty Products within Caterpillar's Reman & Components Division, where she had global responsibility for wear component products and facilities. She previously had a career with General Motors, where she built deep expertise in operations and product management. In 2012, the Caterpillar Board of Directors named Johnson vice president of the Diversified Products Division. In 2013, Johnson was named vice president of Integrated Manufacturing Operations, and in 2014, she was named vice president of Material Handling & Underground Division. She was named group president of Resource Industries in April of 2016. Johnson, a native of Portland, Michigan, graduated from Michigan State University in 1989 with a bachelor's degree in mechanical engineering. She earned dual master's degrees in mechanical engineering and business administration from the Massachusetts Institute of Technology (MIT) in 1997 as a Fellow of the MIT Leaders for Global Operations program. Johnson is a member of numerous outside boards, including National Mining Association, National Association of Manufacturers, The Mosaic Company, MIT Leaders for Global Operations Governing Board, and the President’s Advisory Council on Doing Business in Africa (PAC-DBIA.) Johnson also serves as the executive sponsor of the Caterpillar Women in Leadership initiative.

Thomas Pellette

Mr. Thomas A. Pellette is re designated as Group President of Construction Industries of the Company effective June 1, 2018. He is responsible for Caterpillar's Construction Industries Segment, which includes the Earthmoving, Excavation, Building Construction Products, China Operations and Global Construction & Infrastructure Divisions, as well as Global Rental and Used Equipment Services. Since joining Caterpillar’s Solar Turbines Division in 1993, he has held a range of sales, engineering and product support positions with increasing responsibility, including significant experience in leadership positions in Europe, Asia and the U.S. Prior to joining Solar, Pellette worked for Tennessee Gas and Leybold Technologies. In 2012, the Caterpillar Board of Directors named Pellette a Caterpillar vice president and the president of Solar Turbines. In January 2015, he was named a Caterpillar group president for Construction Industries, and in January 2017, Pellette was appointed group president of Energy & Transportation. He resumed the group president role for Construction Industries in June 2018. Pellette, a native of Los Alamos, N.M., graduated in 1985 from Rice University with a bachelor's degree in mechanical engineering. He is a member of the Rice University Engineering Advisory Board and is also a board member with the US Chamber of Commerce.

Ramin Younessi

Mr. Ramin Younessi is appointed as Group President of Energy & Transportation of the company effective June 1, 2018. He most recently spent five years as a vice president with responsibility for the Industrial Power Systems Division. In this position, he led the business responsible for all engines 18 litres and below, retail generators 750kVA and Caterpillar Defense. Younessi has more than 30 years of progressive global business leadership in the industrial, commercial vehicle and engine industry. Prior to joining Caterpillar, he held a number of executive and senior leadership positions with Daimler AG and Navistar Inc. He was named group president of Caterpillar’s Energy & Transportation segment in June of 2018. Younessi graduated from the Rochester Institute of Technology with a bachelor's degree in electrical engineering and has master's degrees in electrical engineering from Syracuse University and engineering management from the University of Maryland. He is a registered professional engineer in Illinois and Maryland. Younessi serves on the Madison Dearborn Partners’ Basic Industries Roundtable. He is a member of the Society of Automotive Engineers and American Trucking Association. He also serves as the executive sponsor for Caterpillar’s Women’s Initiative Network.

Cheryl Johnson

Ms. Cheryl H. Johnson serves as Chief Human Resource Officer of the Company, with effective July 24, 2017. She manages all aspects of Human Resources including Talent Acquisition and Management, Learning and Development, Diversity and Inclusion, Compensation and Benefits, Shared Services and Employee and Labor Relations. Prior to joining Caterpillar in 2017, Johnson had a successful 20-year career with Textron, ultimately serving as a member of its executive leadership team. Johnson was responsible for leading Textron’s worldwide human resources function as well as corporate communications, corporate real estate, community affairs and the company's aviation department. Johnson's early career encompassed multi-functional experience in human resources, marketing and sales, and finance disciplines within several industries and diverse business models including Rockford, Illinois Public Schools, IBM and Hamilton Sundstrand, a United Technologies company. Johnson is a board member of the HR Policy Association and is Chairperson of its Jobipedia Steering Committee. She holds a Bachelor of Science in operations management and an MBA from Northern Illinois University.

Jananne Copeland

Ms. Jananne A. Copeland is an Chief Accounting Officer of the company. She served as Corporate Controller of the company until Dec. 13, 2012. She was Corporate Consolidations & Tax Accounting Manager (2002-2004), Corporate Financial Reporting Manager, Corporate Services Division (2004-2006), Corporate Financial Reporting Manager, Global Finance & Strategic Support Division (2006 - 2007).

Suzette Long

Ms. Suzette M. Long serves as General Counsel, Corporate Secretary of the Company. She has responsibility for Law, Security & Public Policy, which includes Global Legal Services, Compliance, Environment, Health & Safety, Global Security and Global Government and Corporate Affairs. Long joined Caterpillar in 2004 as an attorney in the legal department. She has served in a number of senior corporate attorney positions and was named Associate General Counsel in 2011. In 2013, Long assumed the position of Deputy General Counsel for the Legal Services Division, and in that role lead the EHS, Product Regulatory, Investigations group. In 2015, Long assumed the position of Deputy General Counsel leading the legal support for Caterpillar’s Energy & Transportation business. In February 2017, Long became Interim Executive Vice President, Law and Public Policy and Corporate Secretary in June 2017. She assumed her current role in August 2017. Prior to joining Caterpillar she was an attorney with Gallagher & Kennedy in Phoenix, AZ. Long has bachelor's and law degrees from Arizona State University and a master’s degree from the University of Arizona. She has completed Caterpillar's Executive Leadership Program through Stanford's Graduate School of Business.

Kelly Ayotte

Ms. Kelly Ayotte serves as Independent Director of the Company. She is a former U.S. senator representing New Hampshire (2011-2017). She served as New Hampshire’s first female attorney general (2004-2009) and, prior to that, she was deputy attorney general and chief of the Homicide Prosecution Unit in New Hampshire. As a senator, Ayotte was a member of the Commerce Committee, where she played a key role advocating for policies and laws to support skills training for high-tech manufacturing jobs and private-sector job creation. She was also actively engaged in efforts to extend the Export-Import Bank, supporting U.S. companies as they compete and export products around the world, and she fought for smart tax reform that would make American companies more competitive.

Juan Gallardo

Mr. Juan Gallardo is Independent Director of Caterpillar Inc. Mr. Gallardo retired as the CEO of Organización CULTIBA, S.A.B. de C.V. in 2016. Mr. Gallardo resides in Mexico where Caterpillar has a presence. The Board believes that Mr. Gallardo’s international business experience, particularly in Latin America and South America, is important for the Company’s understanding of these markets.
