Name Description

Catherine Livingstone

Ms. Catherine B. Livingstone AO, is an Chairman of the Board of the Company. Ms. Livingstone is Chairman of the Nominations Committee, a member of the Risk Committee, the Audit Committee and the Remuneration Committee. She is a former Chairman of Telstra and of the CSIRO, and was Managing Director and Chief Executive Officer of Cochlear Limited. She has served on the Boards of Macquarie Group Limited, Goodman Fielder Limited and Rural Press Limited and has contributed to the work of the Innovation and Productivity Council for the New South Wales Government. She is a former President of the Business Council of Australia. In 2008, Catherine was awarded Officer of the Order of Australia.

Alan Docherty

Mr. Alan Docherty is Acting Chief Financial Officer of the company. He has been the Chief Financial Officer Institutional Banking and Markets and, since joining CBA in 2003, has held senior finance roles in Group Finance, Group Treasury and the Business and Private Bank. Previously, he worked in PwC’s Financial Services practice in the United Kingdom, and with Arthur Andersen and Ernst & Young in Sydney.

Matthew Comyn

Mr. Matthew Peter (Matt) Comyn is Chief Executive Officer, Group Executive - Retail Banking Services, Director of the company effective 9 April 2018. Matt Comyn has nearly 20 years’ experience in banking across business, institutional, retail and wealth management. He joined the Commonwealth Bank Group in 1999 where he has held a number of senior leadership roles. In 2012 he was appointed Group Executive Retail Banking Services, which now accounts for half of the Group’s profit and also leads the development of digital products and services on behalf of the Group. In 2017 Matt established CBA’s new approach to Financial Wellbeing, focused on giving customers more visibility and control over their finances through innovative digital tools. At the same time, Matt and his team have developed support programs to help our most vulnerable customers through financial hardship, including ensuring that victims of domestic violence can access emergency funds. Leading more than 14,000 people in retail banking has been a key priority and employee engagement levels have improved from an already high level. He has been an active leader in the Group’s diversity initiatives, including being the inaugural Executive sponsor of Unity, the Group’s award-winning LGBTI program, and doubling the proportion of women in leadership roles in the Retail Bank (General Manager and above) to around 40 per cent. He has delivered strong profit growth for shareholders, with NPAT in retail banking increasing 60 per cent since 2012. Matt holds an Executive MBA from Sydney University, a Master’s degree in Commerce, majoring in finance, and a Bachelor’s degree in Aviation, both from the University of New South Wales. He has also completed the General Management Program at Harvard Business School.

Barbara Chapman

Ms. Barbara J. Chapman is Chief Executive and Managing Director ASB , New Zealand subsidiary of the Company. She started her career with the Group in 1994 as Chief Manager Marketing at ASB. In 2001, she assumed the role of Head of Retail Banking and Marketing for ASB. In 2004 she moved into the role of Managing Director and Chief Executive Officer of Sovereign Assurance. She joined Commonwealth Bank in 2006 as Group Executive, Human Resources and Group Services.

Pascal Boillat

Mr. Pascal Boillat is appointed as Group Executive Enterprise Services and Chief Information Officer of the company effective 1 October 2018. He is currently Group Chief Information Officer at Deutsche Bank AG. He is an experienced technology and operations professional with more than 30 years’ experience in the financial services sector. Pascal joined Deutsche Bank in February 2016 as Chief Information Officer and Head of Operations, Corporate & Investment Banking, before being appointed Group Chief Information Officer in March 2017. As Group CIO he oversaw the technology strategy and delivery of IT across all parts of the bank across 54 countries. Prior to joining Deutsche Bank, Pascal served as Head of Operations and Technology at US mortgage market company Fannie Mae. He has worked at Citi, where he was responsible for managing and delivering technology solutions for institutional, retail and prime brokerage operations. He has also served as Managing Director of Capital Markets Practice for BearingPoint and Partner of Market Infrastructure at Capco, along with working at KPMG Consulting and Credit Suisse Group. Pascal has a Bachelor of Science in Electronic Engineering from Zurich University and studied Business, Finance and Economics at New York University.

David Whiteing

Mr. David Whiteing is Group Executive - Enterprise Services and Chief Information Officer of the Company. In this role he leads the technology and operations teams of the Group and is responsible for delivering the Group’s strategic pillar of the ‘worldleading application of operations and technology.’ Previously he was Executive General Manager Architecture and Planning for Enterprise Services. He is a highly experienced business and IT executive with a track record of delivering technology transformation in many industries both in Australia and overseas. Prior to joining the Group in 2013 David was Vice President of Enterprise Systems at BP in the UK. He is a former Accenture partner with extensive SAP experience.

David Cohen

Mr. David Cohen is re designated as Deputy Chief Executive Officer of the company effective from 5 November 2018. He is no longer Group Chief Risk Officer of the Company effective from 5 November 2018. In this role he provides leadership to ensure effective risk management and risk governance across the Group. David joined the Group in June 2008 as Group General Counsel and took on the role of leading Group Corporate Affairs in early 2012 with responsibility for advising the CEO and Board on legal matters and leading the Group’s legal team, and for the Group’s external and internal affairs, communications, sustainability and corporate governance. Previously he was General Counsel of AMP and a partner with Allens Arthur Robinson for 12 years.

Anna Lenahan

Ms. Anna C. Lenahan is Group General Counsel and Group Executive Group Corporate Affairs of the Company. She joined Commonwealth Bank in November 2016 as Group General Counsel and Group Executive, Group Corporate Affairs. She leads the Group’s Legal, Secretariat and Corporate Affairs teams. She advises the CEO and the Board on legal matters and is also responsible for delivering an integrated and consistent approach to the Group’s external and internal affairs, communications, sustainability and corporate governance. Prior to joining the Group, Anna was the Chief Risk and Legal Officer at Suncorp Group, having joined Suncorp in 2011 as Group General Counsel and Company Secretary. Previously she was a Corporate Partner at Allens Arthur Robinson (now Allens Linklaters) and a crown prosecutor with the Department of Public Prosecutions in Perth. Anna is a member of the GC100 (Australia) and Chief Executive Women.

Sian Lewis

Ms. Sian Lewis is appointed as Group Executive Human Resources of the company effective from 1 August 2018. She is an executive with extensive financial services, consulting and insurance experience across Australia and United Kingdom. Prior to her appointment in July 2015 as Executive General Manager, Sian was general manager of the retail banking transformation team delivering transformation in customer experience, process automation and distribution in the branch network. Sian joined Commonwealth Bank from Westpac Banking Corporation, when she had extensive experience leading retail banking, commercial banking, marketing, and call centre teams. Prior to Westpac, Sian has held senior roles at KPMG consulting in Human Resources and change management in Australia and United Kingdom, as well as HR roles at BUPA in the UK. Sian has a Bachelor of Arts with Honours in Economic History and History from University of Durham and a Diploma in Personnel Management from University of Westminster.

Adam Bennett

Mr. Adam Bennett is Group Executive, Business and Private Banking of the Company. He was appointed Group Executive, Business and Private Banking in January 2015. He has responsibility for Business Banking, Private Banking, CommSec and Bankwest. He joined the Group in 2004 and was the Chief Information Officer for the Retail Banking and Business Banking divisions during the Core Banking Modernisation project. He joined the Business and Private Banking Leadership Team in 2009, serving as Executive General Manager of Local Business Banking from 2012 to 2014. Prior to joining the Group, Adam was Principal at strategic consulting practice A.T. Kearney, working across industries in Australia, New Zealand, Asia, and Europe. He also previously worked as a consultant at Ernst & Young.

Andrew Hinchliff

Mr. Andrew Hinchliff is appointed as Group Executive Institutional Banking and Markets of the company effective from 1 August 2018. He is currently Executive General Manager of Global Markets at Commonwealth Bank’s institutional bank. He joined CBA in February 2015 and has been responsible for global fixed income, currency and commodity sales, trading and research, leading more than 400 employees across six countries. Andrew has a proven track record in delivering strong business performance, with a particular focus on risk management strategies for corporates, financial institutions and the Australian superannuation sector. Prior to CBA, Andrew ran Fixed Income Currency and Commodities (FICC) for Goldman Sachs Australia. In his 14 years at Goldman Sachs he held senior leadership positions both in Sydney and New York relating to the development of risk management solutions across a wide range of asset classes for institutional clients. He was also a Director on the Board of Goldman Sachs Financial Markets and a member of Goldman Sachs Australian Operating Committee. Andrew also worked for Credit Suisse in London and as an oil and gas engineer for JP Kenny Ltd. Andrew has a Master of Business Administration from Stern School of Business at New York University and Bachelor of Engineering and Commerce from University of Western Australia.

Vittoria Shortt

Ms. Vittoria Shortt is Group Executive - Marketing and Strategy of Commonwealth Bank of Australia. She is responsible for Corporate Strategy, Mergers and Acquisitions, cross-business strategic initiatives and Marketing. She is also a Director of ASB Bank Limited in New Zealand. Prior to her appointment as Group Executive, Vittoria was Commonwealth Bank’s Chief Marketing Officer. She joined the Group in 2002 and has held a number of roles in the retail banking businesses of both Commonwealth Bank and Bankwest, including customer-facing, operations and strategy leadership roles. Previously she worked in Corporate Finance and Mergers and Acquisitions with Deloitte and Carter Holt Harvey in New Zealand. Vittoria is also a member of Chief Executive Women.

Angus Sullivan

Mr. Angus Sullivan is appointed as Group Executive Retail Banking Services of the company effective from 1 July 2018. in June 2016, responsible for Commonwealth Bank’s network of around 1,000 branches. He has been responsible for leading the focus on customer service and satisfaction in branch, along with development of in-branch mortgage lenders and growth in deposits and home lending, and has been acting Group Executive Retail Banking Services since April 2018. Angus joined CBA in January 2012 as Executive General Manager of Group Strategy and in April 2013 was appointed Executive General Manager, Credit Cards and Payments and subsequently EGM Retail Products and Strategy. In this role he was accountable for product design, strategy, risk and portfolio management of all transaction and saving accounts, credit cards, personal loans, foreign exchange and wealth management products distributed via the retail bank. Prior to joining CBA, Angus held various senior roles at McKinsey & Company in Australia and New York, leading the retail banking and financial services practices, and consulting on technology, financial services and strategy for leading banks across Canada, United States and Australia. Angus has a Bachelor of Commerce in Accounting and Finance from University of New South Wales and a Master of Business Administration and Management from INSEAD.

Ms. Taryn Leigh Morton is a Company Secretary of the Company. She has over 18 years of combined corporate governance, company secretarial and legal experience. Prior to the Bank, she was with Insurance Australia Group and before that held the role of Company Secretary of Qantas Airways, where she was also a director of Qantas subsidiaries. Her earlier governance roles were at Babcock & Brown, Ten Network Holdings and Ashurst. She holds Bachelor degrees in Arts and Law and is a Fellow of the Governance Institute of Australia.

Shirish Apte

Mr. Shirish Apte is Non-Executive Independent Director of Commonwealth Bank of Australia., with effect from 10 June 2014. He is Chairman of the Risk Committee and a member of the Audit Committee. Shirish has more than 32 years’ experience with Citi having held various senior roles, including Co-Chairman of Citi Asia Pacific Banking, Chief Executive Officer of Citi Asia Pacific, Chief Executive Officer of Central & Eastern Europe, Middle East & Africa and Country Manager and Deputy President of Citi Handlowy, where he is now Vice Chairman of the Supervisory Board. Shirish is a former Director of Crompton Greaves Ltd.

David Higgins

Sir David Hartmann Higgins is Non-Executive Independent Director of the Company. He is Chairman of the Remuneration Committee and a member of the Risk Committee. Sir David is Chairman of Gatwick Airport Ltd, which operates Gatwick Airport in the UK and Chairman of High Speed Two (HS2) Ltd, the company responsible for developing and promoting the UK’s new high speed rail network. Sir David is a senior advisor to Global Infrastructure Partners in the US and to Lone Star Funds. Previously he was Chief Executive Officer of Network Rail Infrastructure Ltd, Chief Executive Officer of the Olympic Delivery Authority for the London 2012 Olympic Games, Chief Executive Officer of English Partnerships and Managing Director and Chief Executive Officer of Lend Lease.

Brian Long

Mr. Brian James Long is no longer Non-Executive Independent Director of Commonwealth Bank of Australia effective 31 December 2018. He is Chairman of the Audit Committee, a member of the Risk Committee and the Nominations Committee. He retired as a partner of Ernst & Young on 30 June 2010. Until that time he was the Chairman of both the Ernst & Young Global Advisory Council and the Oceania Area Advisory Council. He was one of the firm’s most experienced audit partners with over 30 years’ experience in serving as audit signing partner on major Australian public companies including those in the financial services, property, insurance and media sectors.

Andrew Mohl

Mr. Andrew Max Mohl is no longer Non-Executive Independent Director of Commonwealth Bank of Australia effective 16 November 2018. He is a member of the Risk Committee and the Remuneration Committee. Andrew has over 40 years’ financial services experience. He was Managing Director and Chief Executive Officer of AMP Limited from October 2002 until December 2007. Andrew’s previous roles at AMP included Managing Director, AMP Financial Services and Managing Director and Chief Investment Officer, AMP Asset Management. Previously, he was the Group Chief Economist, Chief Manager, Retail Banking and Managing Director, ANZ Funds Management at ANZ Banking Group. Andrew commenced his career at the Reserve Bank of Australia where his roles included Senior Economist and Deputy Head of Research.

Mary Padbury

Ms. Mary Louise Padbury is Non-Executive Independent Director of the Company. She is a member of the Remuneration Committee and the Nominations Committee. Mary is a pre-eminent intellectual property lawyer with over 30 years’ experience. She is a Partner and the Vice Chairman of Ashurst, having been the Chairman of Ashurst Australia for eight years prior to the firm’s full merger with Ashurst LLP in 2013. Mary spent a number of years in the UK with boutique firm, Bristows, and as resident partner of Ashurst Australia. She has undertaken intellectual property work for Australian and multinational corporations in a range of technology areas and has extensive international, legal and governance experience.

Wendy Stops

Ms. Wendy Margaret Stops is Non-Executive Independent Director of the Company. She is a member of the Remuneration Committee. Wendy was Senior Managing Director, Technology – Asia Pacific for Accenture Limited from 2012 until June 2014. Her career at Accenture spanned some 32 years in which she held various senior positions, including Global Managing Director, Technology Quality & Risk Management, Global Managing Director, Outsourcing Quality & Risk Management and Director of Operations, Asia Pacific. She also served on Accenture’s Global Leadership Council from 2008 until her retirement .

Robert Whitfield

Mr. Robert E. Whitfield, Jr. is Independent Non-Executive Director of the Company. Mr Whitfield has significant experience in banking and finance in senior management roles across the private and public sectors. He is currently a Director of New South Wales Treasury Corporation and, until recently, was Secretary of NSW Treasury and of NSW Industrial Relations. Prior to NSW Treasury, Mr Whitfield had a 30 year career with Westpac Banking Corporation, holding various senior positions, including Chief Executive Officer of the Institutional Bank, Chief Risk Officer, Group Treasurer and Chairman of the Asia Advisory Board. At Westpac, Mr Whitfield developed a deep knowledge in equity and capital markets and was instrumental in developing Westpac’s risk management function and strategies. Mr Whitfield holds a Bachelor of Commerce, postgraduate qualifications in banking and finance and is a Fellow of the Australian Institute of Company Directors.
