Name Description

Enrico Ramusino

Mr. Enrico Cotta Ramusino serves as Chairman, Independent Director at FinecoBank Banca Fineco S.p.A. He held a number of professorships, including the chair in Economics and Business Management at the Faculty of Economics of the University of Pavia (where he is currently a full professor). Alongside his academic career, in his professional career he has held the role of Board Director of the Maria Conti University Foundation (since 2008), member of the supervisory board and Chairman of the Audit Committee of UniCredit Austria GmbH (since 2009) and a member of the supervisory board and Chairman of the Audit Committee of UniCredit Leasing Romania (since 2010). In addition to the holding the position of Chairman of Fineco Leasing from 2005 to 2013, between the years 2008 and 2011 he held the role of Vice Chairman of Pioneer Alternative Investment (a UniCredit group company). He was also Chairman of Capitalia Investimenti Alternativi (formerly Fineco Investimenti Alternativi) from 2003 to 2008. He graduated with degree in Business and Economics in 1982 from Universita degli Studi di Pavia. After this, he undertook a Ph.D. in Business Economics from the Universita Bocconi.

Alessandro Foti

Dr. Alessandro Foti is Chief Executive Officer, General Manager, Director at FinecoBank Banca Fineco S.p.A. He began his professional career in the Financial Management Office of IBM in 1985. After three years of experience in Montedison SpA, where he became the Head of financial coordination of the group's affiliate companies, in 1989 he joined Fin-Eco Holding S.p.A., with responsibility for capital market operations. In 1993 he became the head of the operational section for administration, asset management and trading of Fin-Eco Sim S.p.A. After having been appointed as a member of the Board of Directors, General Manager and Managing Director, in 2002 he became Chairman of Fin-Eco Sim S.p.A. In the meantime, he was appointed as a member of the Board of Directors of Fineco (in 1999). He was also a member of the management committee of Assosim for three years. In 2001, he became a member of the Supervisory Board of Entrium Direct Bankers AG and, from 2003 to 2005, he was a member of the Board of Directors of Ducati Motors Holding S.p.A. and General Manager of FinecoGroup S.p.A. He is also Vice Chairman of the Supervisory Board of DAB. He is a member of the Steering Committee of Assoreti and, since 2013, of the Executive Committee of the UniCredit group. He graduated with a degree in Business and Economics from Universita Bocconi in 1984.

Francesco Saita

Mr. Francesco Saita is Independent Vice Chairman of the Board at FinecoBank Banca Fineco S.p.A. since April 15, 2014. Since 2005, he has been a professor of Economics of Financial Intermediaries at the Bocconi University of Milan, where he was previously a researcher and then associate professor. He currently teaches a number of courses and holds the position of Dean of the Graduate School (since 2010) director of the Centre for Applied Research in Finance (Carefin, from 2011) at the Bocconi University. He is the author of numerous publications on risk management in banks, asset management companies and insurance companies, and on derivative instruments. From 2003 to 2006, he was an independent board director of Fondi Alleanza SGR and from 2012 to 2014 was an independent board director of Banca Aletti. He graduated in Business Economics from Universita Bocconi.

Lorena Pelliciari

Ms. Lorena Pelliciari is Chief Financial Officer at FinecoBank Banca Fineco S.p.A. She began her career in the banking sector in 1980, at the Cassa di Risparmio di Reggio Emilia, where she held positions of responsibility in various areas: advisory services to private clients, finance and treasury, shareholding, planning and management control. Since 2000 she has held the position of Chief Financial Officer within the Company and is currently Head of the Chief Financial Officer Department. Since 2008 she also has been responsible for the coordination of the Chief Financial Officer (CFO) function for the entire Asset Gathering business line of the UniCredit group.

Stefano Orfanini

Mr. Stefano Orfanini is Chief Risk Officer at FinecoBank Banca Fineco S.p.A. He gained a Degree in Law in 1984 from the Universita degli Studi di Milano and began his career at the Biletta & Mazzotti law firm. He then joined Sogen Fiditalia SpA. In 1989 he joined Deutsche Bank, where he assumed roles in the areas of loans, credit recovery and operational risk management for clients and traders, and became Head of the Risk Area of the Credit Card Division in 1997. In 2001, he joined FinecoBank as Director of Lending and, on the basis of his previous experience gained from 2002 to 2006, he was appointed as head of electronic money and member of the Italy VISA Board. In 2007, he became Head of the Risk Area and following FinecoBank’s acquisition by UniCredit, he took on the role of CRO.

Andrea Pepe

Mr. Andrea Pepe is Head of Legal and Corporate Affairs at FinecoBank Banca Fineco S.p.A. He gained a Degree in Law in 1997 from the Universita Cattolica del Sacro Cuore and subsequently authorization to practice the legal profession. He began his career at the Camozzi & Bonissoni Law and Tax firm, specialized in financial markets, banking and insurance law. In 2003, he joined FinecoGroup SpA, a sub-holding parent of FinecoBank, among others. He held roles in the legal area to then become Head of the Legal Function in 2005. In 2006, he joined FinecoBank as Head of the Legal and Corporate Affairs.

Paolo Di Grazia

Mr. Paolo Di Grazia serves as Deputy General Manager and Head of Banking, Brokerage, Marketing & Innovation at FinecoBank Banca Fineco S.p.A. He graduated in Business Economics in 1994 from the Universita Bocconi. After gaining his degree, he moved to the United States and worked at the Republic National Bank of New York, dealing with derivative products. He returned to Italy in 1998 to take on the role of Business Development Director at Matrix S.p.A. He joined the Company in 2004, taking on responsibility for the development and management of the online retail trading platforms and the trading desk. In 2007 he was appointed as Head of Direct Bank with responsibility for banking, brokerage and the trading desk. He also manages Marketing and Innovation, Brand Promotion and Advertising for the Company areas. Since June 2013, he has held the role of Vice Chairman and member of the Executive Committee of Assosim.

Fabio Milanesi

Mr. Fabio Milanesi serves as Deputy General Manager IT, Operations, Customer Care at FinecoBank Banca Fineco S.p.A. He is Head of Global Banking Services at the firm. He began his career working for Studio Agente di Cambio dott. Gaudenzi in 1989. He joined Fin-eco Sim in 1992 as Administrative Director.

Mauro Albanese

Mr. Mauro Albanese is Head of Network PFA at FinecoBank Banca Fineco S.p.A. He graduated in Economics and Banking in 1984 from the Universita degli Studi di Siena. He began his career in IMIgest, where he held the role of Head of the Research and Analysis Office. After several years as Head of Development of Financial and Insurance Products of Banca Fideuram (from 1998), in the 2001 he joined the UniCredit group to help with the start-up of Xelion and was appointed as Head of Network in 2003. In 2005 he took on the position of Business Integration Manager for the Private Banking Division (where he became Head of Planning at European level). At the end of 2007 he returned to Xelion Banca and, following its merger into Fineco, he was appointed as Head of the Network PFA Sales Department, a position he still holds toady, responsible for its management and development.

Carlo Giausa

Mr. Carlo Giausa is Head of Investment Services and Wealth Management at FinecoBank Banca Fineco S.p.A. He graduated in Business and Economics in 1989 from the Universita degli Studi di Roma La Sapienza. He began his career at Banca del Salento in the Network and Marketing functions. In 2000, he joined the UniCredit group, first as Head of the Financial Advisors of Rolo Banca and from 2001 as General Manager of Rolo Pioneer SGR (which later became UniCredit Private Asset Management Sgr). In 2005 he was appointed as Head of Wealth Advisory of UniCredit Private Banking. In 2007, he joined Xelion Banca, where he held the roles of Head of Network and Chief Operating Officer. Following the merger of Xelion Banca into Fineco, he was appointed as Head of the Investment Services and Wealth Management Department.

Silvio Puchar

Mr. Silvio Puchar is Head of Compliance and Head of Anti-Money Laundering at FinecoBank Banca Fineco S.p.A. He graduated in Business Economics in 1989 from the Universita Commerciale Luigi Bocconi and began his career as an Auditor specializing in finance and credit at KPMG SpA. In 1992, he joined Finreme Sim (former Cariplo group), reaching the position of Head of Administration, Financial Reporting and relations with the Regulatory Authorities. In 1998, he joined Fin-eco Sim as Head of Audit, responsible for creating the internal audit function. From 2001 to 2005, he held the role of Head of Internal Audit of FinecoBank. In 2005, he was appointed as Head of Compliance of FinecoBank, responsible for overseeing the creation of the function, setting out its activities and processes.

Manuela D'Onofrio

Ms. Manuela D'Onofrio serves as Non-Executive Director of FinecoBank Banca Fineco S.p.A. since November 8, 2016. She entered the UniCredit Group in 2003 as the Head of UniCredit's Private Banking Investment Department; in 2012 she took on the role of Head of Investments for the UniCredit Group; from 1st November 2016 she was appointed Joint-General Manager of Cordusio SIM SpA. Her career started in 1989 at Chase Manhattan Bank in New York; she then worked for JPMorgan for eight years, which was followed by four years in leadership positions in private asset management at Banca Popolare di Milano beginning in 1996. She holds a Degree in Mathematics from the Universita degli Studi di Roma and a Masters degree in Mathematics from New York University.

Patrizia Albano

Ms. Patrizia Albano serves as Independent Director at FINECOBANK BANCA FINECO S.P.A. since April 11, 2017. She started her work as an internal lawyer at the Istituto Mobiliare Italiano S.p.A. from 1981 to 1999, then to San Paolo IMI S.p.A. In the role of Head of the Central Office of the Large Customers Division up to 2000. She has served as IBI's General Counsel (today Alerion Clean Power S.p.A.) and Head of Corporate Secretary of Risanamento Napoli S.p.A. And Fincasa S.p.A., both listed on the Italian Stock Exchange. Subsequently, from 2003 to 2007, she worked in the Carbonetti Law Firm. Since 2007, she has been practicing at her Studio in Rome and Milan (Albano Baldassari Avvocati) in the field of Corporate Law and mainly deals with corporate consulting and capital transactions, banking and financial operations as well as institutional and corporate compliance. She has assisted Prada S.p.A in listing at the Hong Kong Stock Exchange and advised and assisted the Prada Group by coordinating its corporate affairs since September 2008. Since February 2015, she has been a company in Assolombarda where she is President of the Fashion and Design Group. In the period April / October 2015, she has held the post of Director of Administration at Banca Carim - Cassa di Risparmio di Rimini S.p.A. Elena Biffi

Ms. Elena Biffi serves as Independent Director of FINECOBANK BANCA FINECO S.P.A. since April 11, 2017. She is Member of AIAF, Italian Financial Analyst Association, she has consolidated relationship with institutional investors. She holds degree (110 cum laude) in Political Economy at Universita Bocconi, she has more than 20 years of experience as consultant: corporate governance, evaluation of companies, strategic decisions, risk management, quantitative analysis. She is: Insolvency official receiver of insurance company “La Concordia S.p.a. in L.c.a.”; Chairperson of Supervisory Board on the Organizational Model provided for by Italian Legislative Decree no. 231/2001; Member of the “Consulta di Esperti”, Technical Committee of VI Commission of Chamber of Deputies; Co-founder of CSIP, Certified Sustainability Insurance Partners (Nonprofit organization for sustainable insurance). Previous positions: Chairman of the Board of Statutory Auditors of Fondartigianato, she worked in collaboration with the Ministry; Independent Director of Mediolanum S.p.a. (Bank and Insurance Group), Mediolanum Vita, Mediolanum Assicurazioni; Member of the Board of Statutory Auditors of Pension Fund (Vittoria Lavoro).

Maria Malaguti

Dr. Maria Chiara Malaguti serves as Independent Director of FinecoBank Banca Fineco S.p.A. since April 11, 2017. She is Full Professor of International law at Università Cattolica Sacro Cuore (Milan/Rome, Italy). She is currently legal advisor to the Italian Ministry for Foreign Affairs on trade matters and to the World Bank on modernization of payment systems, financial markets and governance. She chairs the UNCITRAL WG1 on Micro, Small and Medium-Size Enterprises. Until 31st July 2003 she was senior expert in the Payments Systems Division of the European Central Bank, advising in legal matters to the Section on Securities Settlement Systems. Already in a previous period of consultancy at the European Monetary Institute in 1996 she had dealt with issues concerning financial markets and global governance. She holds degrees in law and in economics, an LL.M. from Harvard School of Law and a Ph.D. from the European University Institute (EUI) in Florence, Italy. She has various publications, mainly focusing on financial markets, harmonization of law and sovereign debt. In the past, she has been legal assistant and chief of cabinet at the European Court of Justice and still practices as an attorney in Rome.

Gianmarco Montanari

Mr. Gianmarco Montanari serves as Independent Director of FinecoBank Banca Fineco S.p.A. since April 11, 2017. He is General Manager of the Italian Institute of Technology in Genoa. Previously he was City Manager (General Manager) of Turin after having worked as a manager in top positions in the automotive, financial, management and public administration sectors. He holds an academic degree in Engineering Management at the Politecnico di Torino, and other four degrees in Management, Economics, Political Sciences and Law, together with various management specializations from prestigious international business schools (Columbia, Insead, IMD, Bocconi). Furthermore, he was member of numerous board of private and public companies including the Torinese Transport Group and the Italian Revenue Agency. He was awarded with the Knight of the Order of Merit of the Italian Republic. He is the author of the book "The Samsung Way".

Maurizio Santacroce

Mr. Maurizio Santacroce serves as Independent Director of FinecoBank Banca Fineco S.p.A. since April 11, 2017. He is Board Member of Banca Fineco, of which is also member of risk committee. He is also Chairman of the Board of Directors of Mashfrog Spa and is member of Board of Directors of MyBest Group Spa. Maurizio Santacroce has a Bachelor Degree in Economics from Universita degli Studi di Bari and a Master Degree in Business Administration. Previously covered relevant roles in Ernst and Young Corporate Finance, Unicredit Group, Vodafone, Bain & Company and Lottomatica-Gtech where, between 2005 and 2007, he was first Lottery Business Unit Director, managing the Gratta e Vinci game re-launch, and then became Lottomatica Services. From 2008 to 2017, Maurizio worked with Sisal reaching the rule of General Manager of payment services (CEO) and online. Maurizio is member of IAG - Italian Angels of Growth - the most relevant community of angel investors in Italy. Maurizio is Professor of Digital Marketing & Innovation at Cattolica University in Milan.
